Attorney and Other Fees. Subject to clause (d) Indemnification (above), in the event of any legal action initiated by any party arising under or out of, in connection with or in respect of, this Confirmation or the Transaction, the prevailing party shall be entitled to reasonable and documented attorneys’ fees, costs and expenses incurred in such action, as determined and fixed by the court.

Attorney and Other Fees. Should any party institute an action, suit or proceeding to enforce this Agreement or any provision hereof, or should any action, suit or proceeding be brought in connection with this Agreement (mediation, only, notwithstanding, in which case each party shall pay for its own costs and shall equally share in the costs of the mediation), or for damages for any alleged breach of this Agreement or of any provision hereof, or for a declaration of rights hereunder, the prevailing party in any such action, suit or proceeding shall be entitled to receive from the other party all costs, fees and expenses, including reasonable attorneys fees, incurred by the prevailing party in connection with such action or proceeding.
