Assurances by Group. If CareFirst BlueChoice distributes a Rebate to the Group, the Group will retain, use or distribute all portions of the Rebate in compliance with governing law. The Group represents and provides assurances that (i) it has made a determination regarding whether it is a group health plan that is governed by ERISA; (ii) if the Group determines that it is governed by ERISA, the Group will distribute any Rebate in accordance with its obligations under ERISA; and (iii) if the Group has determined that it is not governed by ERISA, the Group will dispose of any Rebate in accordance with its obligations under 45 C.F.R. § 158.242, as amended or restated from time to time. The Group agrees to provide CareFirst BlueChoice, upon request, with any further written assurance regarding these matters at the time any Rebate is distributed by CareFirst BlueChoice to the Group.

  • Warranty Affirmations Assurances and Certifications 3.01 Federal Assurances Performing Agency further certifies that, to the extent Federal Assurances are incorporated into the Contract under the Signature Document, the Federal Assurances have been reviewed and that Performing Agency is in compliance with each of the requirements reflected therein.

  • Compliance with Other Instruments The execution, delivery and performance by the Purchaser of this Agreement and the consummation by the Purchaser of the transactions contemplated by this Agreement will not result in any violation or default (i) of any provisions of its organizational documents, (ii) of any instrument, judgment, order, writ or decree to which it is a party or by which it is bound, (iii) under any note, indenture or mortgage to which it is a party or by which it is bound, (iv) under any lease, agreement, contract or purchase order to which it is a party or by which it is bound or (v) of any provision of federal or state statute, rule or regulation applicable to the Purchaser, in each case (other than clause (i)), which would have a material adverse effect on the Purchaser or its ability to consummate the transactions contemplated by this Agreement.

  • ADMINISTRATIVE AND REPORTING REQUIREMENTS Contractor shall furnish a report of all services provided under the Contract during each quarterly period, no later than the 15th of the month following the close of each quarter. Purchases by Non-State agencies, political subdivisions and others authorized by law shall be reported in the same report and indicated as required. A template for such report is included herein as Attachment 5 – Report of Contract Usage. The report must be submitted electronically via electronic mail utilizing the template provided. All fields of information shall be accurate and complete. The report is to be submitted electronically in Microsoft Excel 2007 or 2003 (or as otherwise directed by OGS), via electronic mail to the attention of the individual identified on the front page of the Contract Award Notification and shall reference the Group Number, the Award Number, Contract Number, sales period, and Contractor’s (or other authorized agent) name, and all other fields required, using the report template provided. OGS reserves the right to amend the report template. Additional related sales information and/or detailed Authorized User purchases may be required by OGS and must be supplied within 30 days upon request.

  • Acknowledgements and warranty limitations 15.1 The Customer acknowledges that complex software is never wholly free from defects, errors and bugs; and subject to the other provisions of this Agreement, the Provider gives no warranty or representation that the Hosted Services will be wholly free from defects, errors and bugs.

  • Subsidy Requests and Reporting Requirements 1. The Grantee or Management Company shall complete a CRF Subsidy Request Report - Recap of Tenant Income Certification, which provides a unit-by-unit listing of all units in the Development for whom assistance is being requested and gives detailed information including the occupants’ eligibility, set-aside requirements, amount of household rent paid, utility allowance and amount of CRF Rental Subsidy requested.
