Assistance to the Company. Take all reasonable action, that the Company may from time to time request, to assist the Company in obtaining favorable opinions from the Company's independent accountants, with respect to the Custodian's activities hereunder, in connection with the preparation of the Fund's Form N- 1A, Form N-SAR, or other reports to the SEC.
Assistance to the Company. Whenever requested by the Company, both during the period of the Executive’s employment and thereafter, the Executive will assist the Company in assigning, obtaining, maintaining, defending, registering and from time to time enforcing, in any and all countries, the Company’s right to the Intellectual Property. This assistance may include, without limitation, testifying in a suit or other proceeding. If the Company requires assistance from the Executive after termination of his employment, other than assistance as set forth in Section 7.5, the Executive will be compensated for time actually spent in providing assistance at an hourly rate equivalent to his compensation at the time his employment was terminated together with his reasonable, actual out-of-pocket expenses incurred in providing such assistance, to the extent permitted by applicable law and/or court rules.
Assistance to the Company. During the period the Executive is receiving payments of either regular compensation or disability insurance benefits described in this Agreement and as long as he is physically and mentally able to do so, the Executive will furnish information and assistance to the Company and from time to time will make himself available to the Company with respect to areas and matters in which he was involved during his employment with the Company.
Assistance to the Company. You agree to be available after your ------------------------- termination of employment with the Company to assist in locating files, data or information regarding the work you have been doing for the Company, upon reasonable request by the Company. You also agree to make yourself available upon request by the Company to assist the Company in the transaction of any active matters on which you are currently working and the prosecution or defense of any litigation involving the Company concerning any matter of which you have knowledge as a result of your position within the Company. You will be reimbursed for travel and will receive a per diem equivalent to the daily rate of your base salary that was in effect as of the date of your Change Related Termination for the days you provide such service.
Assistance to the Company. The Parties shall use their best efforts to actively assist and promote the interests of the Company.
Assistance to the Company. At all times during and after the Employment Period and at the Company's expense for significant out-of-pocket expenses actually and reasonably incurred by Executive in connection therewith, Executive shall provide reasonable assistance to the Company in the collection of information and documents and shall be available when reasonably requested by the Company in connection with claims or actions brought by or against third parties or investigations by governmental agencies based upon events or circumstances concerning Executive's duties, responsibilities and authority during the Employment Period.
Assistance to the Company. Teijin will assist the Company in the development of its business by providing a highly qualified management, staff and necessary facilities for the Company's operations, at a reasonable compensation. The Company's sales and support staff shall be solely engaged in marketing and providing services related to the Products in the Territory. Assistance to the Company. Executive agrees Executive will not act in any manner intended to damage the business of the Company. Executive agrees that she will reasonably cooperate with the Company with respect to potential, threatened or actual litigation or similar proceeding involving the Company, including but not limited to cooperation relating to any such litigation or similar proceeding or other legal matter in which Executive has been, is or may become involved or with respect to which Executive has knowledge by virtue of her employment with, or services to, the Company, and further including but not limited to any existing or future litigation or similar proceeding involving the Company, whether administrative, civil or criminal in nature in which and to the extent the Company deems Executive’s cooperation necessary or advisable. Executive shall be eligible for reimbursement by the Company of reasonable out-of-pocket costs and expenses incurred by Executive in connection with complying with Executive’s obligations to the Company under this Section 10. Except in the case of an urgent business need that reasonably requires Executive to be in-person at a Myriad facility or elsewhere, the Company agrees to provide Executive with at least seven days’ prior written notice if her assistance requires travel from her residence.
Assistance to the Company. 7. The Consultant shall assist the Company to comply with its obligations under the following Articles of the GDPR taking into account the nature of the processing and the information available to the Consultant:
Assistance to the Company. You agree that, for the period beginning on your Separation Date, and continuing for so long as you remain a director of the Company, you will provide the Company and its Affiliates with such assistance as may reasonably be requested by the Company from time to time. This assistance includes, but is not limited to, assisting in the ongoing business affairs of the Company and its Affiliates, assisting the Company and its Affiliates in the defense of any third-party claims that may be made against the Company and its Affiliates, and assisting the Company and its Affiliates in the prosecution of any claims that may be made by the Company or any Affiliate. The Company will consult with you, and make reasonable efforts to schedule such assistance so as not to materially disrupt your business and personal affairs. You agree, unless precluded by law, to promptly inform the Company if you are asked to participate (or otherwise become involved) in any lawsuits involving such claims that may be filed against the Company or any Affiliate. You also agree, unless precluded by law, to promptly inform the Company if you are asked to assist in any investigation of the Company or any Affiliate (or their actions) that may relate to services performed by you for the Company or any Affiliate, regardless of whether a lawsuit has then been filed against the Company or any Affiliate with respect to such investigation. The Company agrees to reimburse you for all of your reasonable out-of-pocket expenses associated with such assistance, including travel expenses.
