ASSIGNMENTS/SUBCONTRACTING. A. The Service Provider shall not assign its performance under this Agreement or any portion of this Agreement without the written consent of the City, and it is further agreed that said consent must be sought in writing by the Service Provider not less than thirty (30) days prior to the date of any proposed assignment. The City reserves the right to reject without cause any such assignment. Any assignment made without the prior express consent of the City, as required by this part, shall be deemed null and void.

IOMED may not assign (other than by operation of law in the event of an acquisition of IOMED, or a merger or similar transaction, subject to the provisions as set forth in Article IX Paragraph 3) the rights licensed by ELAN under Article II without the prior written consent of ELAN, which may be withheld in ELAN's sole discretion. ELAN shall be entitled to assign its rights and obligations to an AFFILIATE. ELAN may not assign to an unaffiliated third party (other than by operation of law in the event of an acquisition of ELAN, or a merger or similar transaction) its rights under this Agreement without the prior written consent of IOMED, which may be withheld in IOMED's sole discretion.

DDS shall be entitled to assign its rights and obligations to an AFFILIATE. DDS may not assign to an unaffiliated third party (other than by operation of law in the event of an acquisition of DDS, or a merger or similar transaction) its rights under this Agreement without the prior written consent of IOMED, which may be withheld in IOMED's sole discretion.
ASSIGNMENTS/SUBCONTRACTING. WPZS has been chosen by the City to operate and manage the Zoo in reliance upon WPZS’s stated and unique expertise, skill and experience. WPZS shall not assign, transfer, mortgage or encumber its interest in this Agreement or any other right, privilege or license conferred by this Agreement, either in whole or in part. Any assignment or encumbrance shall be voidable and, at the City’s election, shall constitute a material default under this Agreement. Without limiting the obligations of WPZS under this Agreement, WPZS shall have the right and the authority to enter into contracting arrangements with any other person or entity (including without limitation the Parks Department or other City agency) for the provision of any service required or allowed to be performed by WPZS under this Agreement.
ASSIGNMENTS/SUBCONTRACTING. No right or obligation under this Agreement and/or Purchase Order may be assigned by Supplier without the prior written consent of Netafim. Netafim may assign the rights or obligations or both of this Agreement in whole or part at any time. Supplier may not subcontract any of its rights or obligations under the Agreement and/or Purchase Order without Netafim’s prior written consent. B.
ASSIGNMENTS/SUBCONTRACTING. Neither party may assign, transfer or otherwise dispose of this Agreement or any interest therein, or subcontract any of its obligations hereunder, in whole or in part to any individual, firm or corporation without the prior written consent of the other party. Notwithstanding the foregoing, BexR shall entitled to appoint subcontractors or representatives, contract with affiliates and assign this Agreement to its affiliates, provided that BexR shall promptly inform Napo of the appointment of any such subcontractor or representative or an assignment. BexR shall cause any subcontractor, representative or assignee so appointed to comply with all requirements of this Agreement.
