Assignment of the Contract. The Contractor shall not sell, transfer, assign, or otherwise dispose of the Contract or any portion thereof or of any right, title, or interest therein without prior written consent of the Division. Any such purported assignment or transfer shall be void. If approved, any assignee shall be subject to all terms and conditions of this Contract and other supplemental contractual documents. No approval by the Division of any assignment may be deemed to obligate the Division beyond the provisions of this Contract. This provision includes reassignment of the Contract due to change in ownership of the Contractor. The Division shall at all times be entitled to assign or transfer its rights, duties, and/or obligations under this Contract to another governmental agency in the State of Mississippi upon giving prior written notice to the Contractor.
Assignment of the Contract. The Client may assign its rights and obligations under the Agreement, in full or in part, provided that the Client can prove that the acquirer has the financial resources required to fulfil the Client's obligations under the Agreement. The Supplier may not assign or pledge the Agreement, part of or interest therein, without the Client's consent. Such consent cannot be refused without a valid reason.
Assignment of the Contract. Neither of the Parties hereto shall assign this Contract to a third party unless prior consent of the other Party is given in writing, such consent not to be unreasonably withheld. One, among others, conditions for consent is that the Assignee will maintain all guarantees received by FINC (including the Letter of Credit), or in case of renewal by the Assignee such guarantees will be renewed in a manner not decreasing the level of guarantee of FINC. The deed of assignment will be subject to the same legal formalities of this Contract. For financing purposes the Owner can assign some rights hereof (agreed with FINC but in any case excluding mortgage or any lien on the ship under progress) in order to obtain means for the payment of the third (10.2.c ) and fourth (10.2.d) instalment.
Assignment of the Contract. The University Housing Contract is personal and may not be transferred or assigned to another person. The space may not be sublet. Once the contract term has begun, University Housing will only provide access to the contracted space to the student whom is assigned. Parents, friends and other delegates may not obtain keys or access to the space on a student’s behalf. Addenda to this contract may be distributed and enacted as needed. All addenda become an extension or revision of this contract and/or its attached addenda, and therefore are binding on all residents living in University Housing.
Assignment of the Contract. A Written Request by the Contract Owner specifying the terms of an assignment of this Contract must be provided to the Annuity Service Center. Until the Written Request is received, the Company will not be required to take notice of or be responsible for any transfer of interest in this Contract by assignment, agreement, or otherwise. The Company will not be responsible for the validity or tax consequences of any assignment. Any assignment made after the death benefit has become payable will be valid only with the Company’s consent. If this Contract is assigned, the Contract Owner’s rights may only be exercised with the consent of the assignee of record.

In case of payments granted by Guarantee Letter issued by the mother company of ATL, then the mother company will in any case remain liable toward FINC of all obligations of the Assignee deriving from the Contract , and these engagements will be contained in a separate documents to be agreed and delivered to FINC before the signature of the assignment. The deed of assignment will be subject to the same legal formalities of this Contract. For financing purposes ATL can assign some rights hereof (agreed with FINC but in any case excluding mortgage or any lien on the ship under progress) in order to obtain means for the payment of the third (10.2.c ) and fourth (10.2.d) instalment.
Assignment of the Contract. The Parties expressly agree that the Contract shall not be assigned to third parties in absence of the written consent of the Counterparty. The Party assigning the Contract without such written consent shall be deemed liable first and foremost over the Counterparty.
Assignment of the Contract. The Network User shall request the consent of FGSZ Zrt. to the assignment of this Contract to a third party in accordance with the provisions of the Civil Code. FGSZ Zrt. may not refuse to grant the consent if the party wishing to assume the Contract complies with all relevant legal regulations and all requirements stipulated by FGSZ Zrt. for its partners in its Business Code, this Contract and the Open Season Rulebook attached hereto. The Contracting Parties and the third party wishing to assume the Contract shall enter into a separate tripartite agreement on the assignment of the Contract, including all issues affecting settlement and the financial securities.
Assignment of the Contract. Such consent, if granted, shall not relieve Contractor of its responsibilities under this Agreement. This provision includes reassignment of this Agreement due to change in ownership of the firm. State consent shall not be unreasonably withheld.
Assignment of the Contract. Assignor hereby transfers and assigns to Assignee all of Assignor's right, title and interest in and to the Contract.
