Common use of Assignment of Lease Clause in Contracts

Assignment of Lease. Assignor hereby assigns and transfers to Assignee all of Assignor’s right, title and interest in and to the Lease. This assignment is subject to all terms and conditions set forth in the Lease, as amended. Notwithstanding the assignment of the Lease, Assignor agrees that it shall remain fully liable for all obligations of the Lessee under the Lease coming due or to be performed after the date of the assignment, as set forth in Section 9.1 of the Lease.

Assignment of Lease. Assignor hereby assigns assigns, transfers and transfers sets over to Assignee all of Assignor’s right, title and interest in and to as tenant under the Lease. This assignment is subject , together with all credits, deposits, rights of refusal, options (including, but not limited to, any options to all terms and conditions purchase or renew set forth in the Lease), as amended. This assignment is subject to all terms and conditions set forth in the Lease. This assignment is contingent upon the consent of the Lessor. Assignor agrees that, as amended. Notwithstanding notwithstanding the assignment of the LeaseLease and the consent of Xxxxxx thereto, Assignor agrees that it shall remain fully liable for all obligations of the Lessee under the Lease coming due or to be performed after the date of the assignment, as set forth in Section 9.1 of the Lease.

This assignment is subject Assignor hereby agrees to indemnify Assignee against and hold Assignee harmless from any and all terms and conditions set forth in the Leasecost, as amended. Notwithstanding the assignment liability, loss, damage or expense, including, without limitation, attorneys' fees, arising out of Assignor's breach of the Lease, Assignor agrees that it shall remain fully liable for all obligations of Lease prior to the Lessee under the Lease coming due or to be performed after the date of the assignment, as set forth in Section 9.1 of the LeaseEffective Date.

Assignment of Lease. Assignor hereby transfers, assigns and transfers delivers to Assignee all of Assignor’s right, title title, interest and interest in obligations in, to and to under the Lease accruing on and after the date hereof (the “Closing”), including, without limitation, all of the rights, duties and obligations conferred upon the Assignor by the Lease.
