Assignment for Security. (a) Notwithstanding any other provision of this Agreement, a Party, without the other Parties' consent but, if such assigning Party is then a borrower of the RUS, only with the consent of the Administrator, may assign, transfer, mortgage or pledge its interest in this Agreement as security (an "Assignment for Security") for any obligation secured by any indenture, mortgage or similar lien on its system assets without limitation on the right of the secured party to further assign this Agreement, including the assignment to create a security interest for the benefit of the Government, acting through the Administrator, or for the benefit of any third party.

Nothing in this Section 13 shall (i) prohibit LICENSEE from assigning or granting a lien on LICENSEE’s rights to payments under this SLA for purposes of collateral security or (ii), except as permitted under subsection 13.10.3 above or with UNIVERSITY’s consent in accordance with section 13.10.1,above, allow LICENSEE to assign its duties and obligations under this SLA.

Assignment for Security. Assignor assigns all of its presently-existing or after- acquired limited liability company membership interest in [4], LLC, a Utah limited liability company, in [5], LLC, and in [6], LLC, and all of Assignor’s presently-existing or after-acquired interest in any Issuer as defined in this Assignment (see section 3(a)) and the other collateral described in this Assignment, to Secured Party, as security for prompt payment and performance in full when due, whether at stated maturity, by acceleration, or otherwise (including amounts that would become due but for the operation of the provisions of the Bankruptcy Code or other debtor relief law) of any and all obligations owed by Assignor or others to Secured Party as described in this Assignment (see e.g., the Recitals, section 2, the Loan Agreement, or any presently existing or future instruments related to this Assignment or the Loan Agreement or the performance of them or security for them, including the Guarantee, any of the documents listed on Exhibit A, other guarantees, deeds of trust, further security interests, or other instruments which exist or may come to exist pursuant to the foregoing or (all such documents describing or giving rise to such obligations are referred to as the “Loan Documents”).

Nothing in this Section shall (i) prohibit SELLER from assigning or granting a lien on SELLER's rights to payments under this PPA for purposes of collateral security or (ii), except as permitted under Section "Definition of Assignment" above or with BOE's consent in accordance with Section "Consent to Assignment" above, allow SELLER to assign its duties and obligations under this PPA.

As security for the payment and performance of all Hospitals' obligations under that certain Guaranty of approximate even date herewith, Hospitals hereby absolutely assigns to Agent all Hospitals' right, title and interest in the Option; provided that, until an Event of Default shall have occurred and be continuing under the Credit Agreement, Agent shall have no right to exercise the Option.
