Assignment by the Agent. The Agent may at any time assign or otherwise transfer all or any portion of its rights and obligations as Agent under this Agreement and the other Loan Documents (including, without limitation, the Indebtedness) to any other Person, to the extent permitted by, and upon the conditions contained in, the Credit Agreement and such Person shall thereupon become vested with all the benefits and obligations thereof granted to the Agent herein or otherwise.
Assignment by the Agent. The Agent may from time to time assign the Pledgor Obligations and any portion thereof and/or the Pledged Collateral and any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Agent under this Pledge Agreement in relation thereto.
Assignment by the Agent. Subject to the terms of the Credit Agreement, the Agent may from time to time assign the Secured Obligations and any portion thereof and/or the Collateral and any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Agent under this Security Agreement in relation thereto.
Assignment by the Agent. Subject to Section 9.6 of the Credit Agreement, the Agent may from time to time assign the Pledgor Obligations and any portion thereof and/or the Pledged Collateral and any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Agent under this Pledge Agreement in relation thereto.
Assignment by the Agent. The Agent may from time to time assign the Pledgor Obligations or any portion thereof and/or the Pledged Collateral or any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Agent under this Pledge Agreement in relation thereto.
Assignment by the Agent. In connection with the succession of the Agent pursuant to Section 10.7 of the Credit Agreement, the Agent may from time to time assign the Secured Obligations and any portion thereof and/or the Collateral and any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Agent under this Security Agreement in relation thereto.
Assignment by the Agent. The Agent may from time to time assign the Obligor Obligations and the Pledged Collateral to any successor Agent appointed in accordance with SECTION 10.7 of the Credit Agreement, and the assignee shall be entitled to all of the rights and remedies of the Agent under this Pledge Agreement in relation thereto.
Assignment by the Agent. Upon the occurrence of an Event of Default, or as otherwise permitted under the Term Loan Agreement, the Agent may assign the Secured Obligations and any portion thereof and/or the Collateral and any portion thereof, and the assignee shall be entitled to all of the rights and remedies of the Agent under this Agreement in relation thereto.
Assignment by the Agent. The Agent may from time to time assign the Collateral and any portion thereof to a successor Agent, and the assignee shall be entitled to all of the rights and remedies of the Agent under this Security Agreement in relation thereto.
Assignment by the Agent. The Agent may from time to time, subject to the provisions of the Credit Agreement, assign the Secured Obligations or any portion thereof and/or the Collateral or any portion thereof to a successor Agent appointed under the provisions of the Credit Agreement, and the assignee shall be entitled to all of the rights and remedies of the Agent under this Security Agreement in relation thereto.
