Common use of Assignment by Landlord Clause in Contracts

Assignment by Landlord. Landlord shall have the right to transfer and assign, in whole or in part, all its rights and obligations hereunder, in the Premises, and in such event and upon such transfer no further liability or obligation shall thereafter accrue against Landlord hereunder.

Assignment by Landlord. Landlord shall have the right to transfer and assign, in whole or in part, all its rights and obligations hereunder, obligation hereunder and in the PremisesCenter and property referred to in this Lease, and in such event and upon such transfer its transferee's assuming Landlord's obligations hereunder, no further liability or obligation shall thereafter accrue against the present Landlord hereunderunder this Lease.

Assignment by Landlord. Landlord shall have the right to transfer transfer, assign and assignconvey, in whole or in part, any and all of its rights under this Lease provided that the assignee and any assignee of the fee simple title of the Premises assumes the obligations hereunder, in the Premises, and in such event and upon such transfer no further liability or obligation shall thereafter accrue against duties of Landlord hereunderarising under this Agreement.

Assignment by Landlord. 28.1 Landlord shall have the right to transfer and or assign, in whole or in part, all its rights and obligations hereunder, hereunder and in the PremisesPremises and the Project. In such event, and in such event and upon such transfer no further liability or obligation shall thereafter accrue against or be charged to Landlord hereunderwith respect to the period from and after such transfer or assignment and assumption of Landlord's obligations by the transferee or assignee.

Assignment by Landlord. Landlord shall have the right to transfer and assign, in whole or in part, all its rights and obligations hereunder, hereunder and in the Premises, and in Building. In such event and upon such transfer transfer, no further liability or obligation shall thereafter accrue against Landlord hereunderthe assigning Landlord.

If Landlord sells or transfers any or all of the Building, Landlord and Landlord’s Affiliates shall, upon consummation of such transfer no further be released automatically from any liability under this Lease for obligations to be performed or obligation shall thereafter accrue against Landlord hereunderobserved after the date of the transfer. After the effective date of the transfer, Tenant must look solely to Landlord’s successor-in-interest.

Landlord shall have the right to transfer and assign, in whole or in part, all its rights and obligations hereunder, in the PremisesPremises and the Building, and in such event and upon such transfer no further liability or obligation shall thereafter accrue against Landlord hereunder.

Assignment by Landlord. Landlord shall have the right to transfer and assign, in whole or in part, all its rights and obligations hereunder, in the Premises, Building or Project, and in such event and upon such transfer no further liability or obligation shall thereafter accrue against the transferring Landlord hereunder.

Upon transfer Landlord shall be released from any further obligations hereunder and Tenant agrees to look solely to the successor in interest of Landlord for the performance of such obligations, and provided that any such successor shall have assumed Landlord’s obligations under this Lease in such event and upon such transfer no further liability or obligation shall thereafter accrue against Landlord hereunderwriting.

Assignment by Landlord. Landlord shall have the right to transfer all or any part of Landlord’s interest in the Lease and assignthe Premises without the consent or approval of Tenant, in whole or in part, all its rights which transfer shall work an absolute release of Landlord’s liabilities and obligations hereunderhereunder arising after the date of such assignment; provided, in however, that prior to any such transfer, Landlord and Tenant shall amend Article XX of this Lease to cause any real property taxes assessed against the Premises, Premises and in such event and upon Tenant’s Building after such transfer no further liability or obligation shall thereafter accrue against Landlord hereunderto be paid by Landlord’s transferee.

Any transferee shall agree in writing to be bound by all terms and provisions of this Lease Agreement. Landlord shall provide Tenant with a fully executed copy of such transfer and assignment agreement.

Assignment by Landlord. Landlord shall have the right to transfer and assign, in whole or in part, all its rights and obligations hereunder, hereunder and in the PremisesBuilding and all other property referred to herein, and in Landlord agrees to provide Tenant with timely notice of any such transfer. In such event and upon such transfer (any such transferee to have the benefit of, and be subject to, the provisions of Section 6.06 and Section 8.07 hereof) no further liability or obligation shall thereafter accrue against Landlord hereunderunder this Lease.

Assignment by Landlord. Landlord shall have the right to transfer and assign, in whole or in part, all its of Landlord's rights and obligations hereunder, in the Premisesas well as any property referred to herein, and in such event and upon such transfer the transferor or assignor shall have no further liability or obligation hereunder. Nothing contained in this paragraph shall thereafter accrue against Landlord hereunderlimit or prevent any assignment of this Lease or the revenue derived therefrom to any lender.

Assignment by Landlord. Landlord shall have the right to transfer and assign, in whole or in part, all any of its rights under this Lease and in the Building and Land referred to herein and Landlord shall, by virtue of such assignment, be released from all obligations hereunder so long as the assignee or transferee assumes all of Landlord's obligations hereunder, in the Premises, and in such event and upon such transfer no further liability or obligation shall thereafter accrue against Landlord hereunder.

Assignment by Landlord. Landlord shall have the right to sell, convey, transfer and assign, in whole or in part, all its rights and obligations hereunder, hereunder and in the PremisesBuilding and the property referred to herein, and in such event and upon such transfer event, no further liability or obligation obligations shall thereafter accrue against Landlord hereunderhereunder and Tenant agrees to attorn to such transferee.

Assignment by Landlord. Landlord shall have the right to transfer and assign, in whole or in part, all its rights and obligations hereunder, in the PremisesBuilding, the Project, the Land and all other property referred to herein, and in such event and upon such transfer (any such transferee to have the benefit of, and be subject to, the provisions of Sections 8.3 and 8.4 hereof) no further liability or obligation shall thereafter accrue against Landlord hereunderhereunder and the transferee shall be deemed to have assumed all obligations hereunder arising subsequent to the transfer or assignment.

Assignment by Landlord. Landlord shall have the right to transfer and assign, in whole or in part, all its rights and obligations hereunder, in the PremisesProject, the Land and all other property referred to herein, and in such event and upon such transfer (any such transferee to have the benefit of, and be subject to, the provisions of Sections 8.03 and 8.04 hereof) no further liability or obligation shall thereafter accrue against Landlord hereunderhereunder with respect to matters arising from and after the date of such transfer.

Assignment by Landlord. Tenant agrees to look only to the Landlord hereunder for performance of such of the Landlord’s obligations hereunder as arise during its period of ownership of the tenant’s interest in such event and upon such transfer no further liability or obligation shall thereafter accrue against Landlord hereunderthe Prime Lease.

Assignment by Landlord. 27.1 Landlord shall have the right to transfer and assign, in whole or in part, all its rights and obligations hereunder, hereunder and in the Leased Premises, and in .
