Assignment and Subletting by Lessee. 13.1 Lessee may not sublet, assign, encumber, or otherwise transfer this Lease, or any right or interest in this Lease or in the Leased Premises or the improvements on the Leased Premises, without the written consent of Lessor. If Lessee sublets, assigns, encumbers, or otherwise transfers its rights or interest in this Lease or in the Leased Premises or the improvements on the Leased Premises, other than as specified herein, without the written consent of Lessor, Lessor may, at its option, declare this Lease terminated and Lessee and Lessor shall have no further obligation to each other under this Lease. In the event Lessor consents in writing to an assignment, sublease or other transfer of all or any of Lessee's rights under this Lease, the assignee or sublessee, must assume all of Lessee's obligations under this Lease, and Lessee shall remain liable for every obligation under the Lease. Lessor's consent under this section will not be arbitrarily or unreasonably withheld.
Assignment and Subletting by Lessee. 15.01. Lessee shall have the right without the prior written consent of Lessor to assign this Lease, and any interest therein, and to sublet the leased premises, or any part thereof, or any right or privilege pertinent thereto, provided each assignee assumes in writing all of Lessee's obligations under this Lease, and Lessee shall remain liable for each and every obligation under this Lease.
Assignment and Subletting by Lessee. 12.1 Lessee may not sublet, assign, encumber, or otherwise transfer this Lease, or any right or interest in this Lease or in the Portables, without the written consent of Lessor. If Lessee sublets, assigns, encumbers, or otherwise transfers its rights or interest in this Lease or in the Portables, other than as specified herein, without the written consent of Lessor, Lessor may, at its option, declare this Lease terminated and Lessee and Lessor shall have no further obligation to each other under this Lease other than Lessee cleaning, disinfecting and sanitizing the Portables in accordance with Article 1.2, and paying all costs and expenses to relocate all Portables to a site designated by Lessor. In the event Lessor consents in writing to an assignment, sublease or other transfer of all or any of Lessee's rights under this Lease, the assignee or sublessee, must assume all of Lessee's obligations under this Lease, and Lessee shall remain liable for every obligation under the Lease. Lessor's consent under this section may be arbitrarily or unreasonably withheld.
Assignment and Subletting by Lessee. Lessor hereby consents to an assignment of this Lease or a subletting of all or part of the Premises to (a) a parent of Lessee, the parent of such parent, or a wholly owned subsidiary of Lessee, of such parent, or of the parent of such parent and (b) any entity to whom Lessee sells all or substantially of its assets provided that any such entity expressly assumes all Lessee's obligations hereunder.
Assignment and Subletting by Lessee. LESSEE will not sublet the demised premises or any part hereof, or transfer possession or occupancy thereof to any person, firm, partnership or corporation, or transfer or assign this tease without the prior written consent of LESSOR, nor shall any subletting or assignment hereof be effected by operation of law or otherwise than by the prior written consent of LESSOR. However, in neither case shall the LESSOR unreasonably withhold consent to such a subletting or assignment.
Assignment and Subletting by Lessee. Lessee shall not assign this Lease or sublet the Premises or any part thereof without Lessor’s prior written consent, which consent Lessor agrees not to unreasonably withhold or delay; provided, however, that Lessee may, without Lessor’s consent assign this Lease or sublet the Premises or any part thereof to any affiliate of Lessee. Lessor hereby consents to Lessee subletting up to fifteen thousand (15,000) square feet of space in the Building to Mestek, Inc. for use as a laboratory and/or test facility.
Assignment and Subletting by Lessee. Lessee shall not have the right to further assign this Lease or further sublet the Rental Space without the prior written approval of Lessor. Any further assignment or subleasing shall not relieve Lessee from its liability under the terms and conditions of this Lease, and any assignee of Lessee shall be bound unconditionally by and perform all of the obligations of Lessee under this Lease.
Assignment and Subletting by Lessee. Lessee shall have the right to assign or sublet all or any portion of the Leased Premises with the written consent of the Lessor and with such written consent not to be unreasonably withheld but any such assignment or subletting shall not release the Lessee or any Guarantor from all of their obligations to the Lessor hereunder. In the event of a proposed assignment or sublet of the Leased Premises or any portion thereof, the Lessee shall provide the Lessor with all reasonable requested information concerning the proposed assignee or subtenant which such information Lessor shall hold and keep in strict confidence. Notwithstanding anything to the contrary set forth herein or elsewhere, Lessor shall have been deemed to have consented to any proposed assignment or subletting unless Lessor shall provide written notice otherwise, together with its reasons for withholding such consent, to Lessee within five (5) business days of Lessee’s receipt of all information concerning the proposed assignee or subtenant. The Lessee shall have the right to assign or sublease to an affiliated entity upon written notice to Lessor but no such assignment or subletting shall release the Lessee or the Guarantor from any of its obligations.
Assignment and Subletting by Lessee. Provided that at the time of any such assignment or subletting is not then in default of this Lease, Lessee may assign or sublet the Demised Premises, for the uses and purposes permitted under this Lease, as follows:

The approval of Lessor shall be based upon the proposed assignee's financial condition, proposed use and stability. Lessee shall not have the right except with the prior written consent of Lessor, to sublet the premises provided that the Lessor shall have the right to approve such sublessee and that the sublessee shall assume in writing all of the Lessee's obligation under this Lease, and Lessee shall remain liable for each and every obligation under this Lease. The approval of such sublessee shall be based upon the same conditions as set forth in the previous paragraph.
