Common use of Assignment and Enurement Clause in Contracts

Assignment and Enurement. This Agreement may not be assigned by a Party without the prior written consent of the other Party, which consent may be unreasonably and arbitrarily withheld; provided however, Purchaser shall be entitled to assign its rights and obligation hereunder to its nominee for purpose of receiving the conveyance of the Assets contemplated hereunder.
