ASSIGNMENT AND AGENCY. 15.1 You acknowledge and agree that SPR may in its absolute discretion (without the need to give notice to, or receive consent from, you) assign (absolutely or by way of security), transfer, discount or charge, to or in favour of any third party, any or all of SPR’s rights, title and interest in and in connection with this Agreement including, without limitation, SPR’s rights, title and interest in: (a) payment of all moneys due, owing or payable or which shall become due, owing or payable by you under this Agreement; (b) all Equipment from time to time leased to you; (c) all guarantees and indemnities and other rights granted by you, the Guarantor or any other person pursuant to or in connection with this Agreement; and/or (d) all other rights, powers and benefits of SPR including, but not limited to, all rights to any cause of action or remedy which may have arisen or may in the future arise howsoever in connection with or under this Agreement.
ASSIGNMENT AND AGENCY. 20.1 You acknowledge that we may enter into this Agreement as principal or agent for some other person, and that the other person has or may acquire property in the Equipment.

ASSIGNMENT AND AGENCY. 14.16 A party must not assign its rights or novate its obligations under this Agreement without the other party’s prior written consent, which will not be unreasonably withheld, provided that a party may, without the other party’s written consent, assign or novate any or all of its rights and obligations under this Agreement to an Affiliate, provided that such Affiliate (a) has sufficient resources and financial capacity to perform its obligations under this Agreement; and is not (i) a Sanctioned Party, (ii) organised under the laws of, or located or ordinarily a resident in, a Sanctioned Jurisdiction, or (iii) part of, or owned or controlled by, the government of a Sanctioned Jurisdiction, provided further that, in the event of an assignment to an Affiliate, the non-assigning party may refuse to deal with the relevant Affiliate if it reasonably determines that such Affiliate does not meet the requirements set forth in clauses (a) or (b) of this Section 14.16. Notwithstanding the foregoing, we may assign any or all of our rights and obligations under this Agreement and we may assign our receivables to our financing partner only in circumstances where you do not pay any undisputed invoices on time in accordance with this Agreement, and this does not prevent us to take other actions as set out in this Agreement in relation to non-payment of undisputed invoices.

In the case of an assignment of receivable, we shall retain the right to take other actions as set out in this Agreement in relation to non-payment of undisputed invoices.

You are not permitted to assign any rights or obligations you may have under this Agreement. You acknowledge that we may have entered into this Agreement as the agent for some other person and that the other person has or may acquire property in mortgage over the Goods.
