Common use of Assessments of Compliance and Attestation Reports Clause in Contracts

Assessments of Compliance and Attestation Reports. Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB, the Servicer shall deliver to the Trustee on or before March 15th of each calendar year beginning in 2007, a report regarding the Servicer’s assessment of compliance (an “Assessment of Compliance”) with the applicable Servicing Criteria (as set forth in Exhibit S) during the preceding calendar year. The Assessment of Compliance must contain the following:

Assessments of Compliance and Attestation Reports. Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB, the The Servicer shall deliver to the Trustee on or before March 15th of each calendar year beginning in 20072008, a report regarding the Servicer’s assessment of compliance (an “Assessment of Compliance”) with the applicable Servicing Criteria (as set forth in Exhibit SR) during the preceding calendar year. The Assessment of Compliance must contain the following:

Assessments of Compliance and Attestation Reports. Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB, the Servicer shall deliver to the Indenture Trustee on or before March 15th of each calendar year beginning in 2007, a report regarding the Servicer’s assessment of compliance (an “Assessment of Compliance”) with the applicable Servicing Criteria (as set forth in Exhibit SH) during the preceding calendar year. The Assessment of Compliance must contain the following:

Assessments of Compliance and Attestation Reports. Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB, the Servicer shall deliver to the Trustee on or before March 15th of each calendar year (or March 24th of any calendar year in which a Form 10-K will not be filed) beginning in 2007, a report regarding the Servicer’s assessment of compliance (an “Assessment of Compliance”) with the applicable Servicing Criteria (as set forth in Exhibit S) during the preceding calendar year. The Assessment of Compliance must contain the following:

The Assessment of Compliance must contain the following:

Assessments of Compliance and Attestation Reports. Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB, the Servicer shall deliver to the Depositor, the Indenture Trustee and the Note Insurer on or before March 15th 15 of each calendar year beginning in 20072008, a report regarding the Servicer’s assessment of compliance with the Servicing Criteria (an “Assessment of Compliance”) with the applicable Servicing Criteria (as set forth in Exhibit S) during the preceding calendar year. Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 1122(a) of Regulation AB, the Master Servicer shall deliver to the Trustee via e-mail (DXXXX.Xxxxxxxxxxxxx@xx.xxx) on or before March 15th 22nd of each calendar year beginning in 2007, a report regarding the Master Servicer’s assessment of compliance (an “Assessment of Compliance”) with the applicable Servicing Criteria (as set forth in Exhibit SN) during the preceding calendar year. Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 1122(a) of Regulation AB, the Master Servicer shall deliver to the Trustee on or before March 15th 22nd of each calendar year beginning in 2007, a report regarding the Master Servicer’s assessment of compliance (an “Assessment of Compliance”) with the applicable Servicing Criteria (as set forth in Exhibit SN) during the preceding calendar year. The Assessment of Compliance must contain the following:

Pursuant to Rules 13a-18 and 15d-18 of the Exchange Act and Item 1122 of Regulation AB, each Servicer and the Group I Master Servicer shall each deliver to the Depositor and the Trustee on or before March 15th 15 of each calendar year beginning in 2007, a report regarding the Servicersuch party’s assessment of compliance (an “Assessment of Compliance”) with the applicable Servicing Criteria (as set forth in Exhibit S) during the preceding calendar year.
