Articles of Share Exchange. A duly executed original of the Articles of Share Exchange.
Articles of Share Exchange. Articles of Share Exchange with respect to the Acquisition shall have been executed, delivered and filed with the Secretary of State of the State of Florida by each of the Constituent Corporations on the Closing Date.
Articles of Share Exchange. Articles of Share Exchange. Pursuant to the provisions of the Colorado Business Corporation Act, AMERICAN INVESTMENT NETWORK, INC., a Mississippi corporation ('American"), and CITIZENS INSURANCE COMPANY OF AMERICA, a stock insurance company organized under the laws of the State of Colorado ("CICA"), adopt the following articles of share exchange:

If the Share Exchange is approved at the Meetings by the UMS Shareholders and the Scarlet Shareholders, then as soon as reasonably practicable thereafter, Scarlet and UMS shall take the necessary steps to file the Articles of Share Exchange with the Secretary of State, and such other documents as are required to be filed under the Idaho Business Corporation Act with the Secretary of State to give effect to the Share Exchange pursuant to the Idaho Business Corporation Act.
