Articles of Incorporation and Bylaws; Records. The Company has delivered to Parent accurate and complete copies of: (1) the Company's articles of incorporation and bylaws, including all amendments thereto; (2) the stock records of the Company; and (3) except as set forth in Part 2.2 of the Disclosure Schedule, the minutes and other records of the meetings and other proceedings (including any actions taken by written consent or otherwise without a meeting) of the shareholders of the Company, the board of directors of the Company and all committees of the board of directors of the Company. There have been no formal meetings or other proceedings of the shareholders of the Company, the board of directors of the Company or any committee of the board of directors of the Company that are not fully reflected in such minutes or other records. There has not been any violation of any of the provisions of the Company's articles of incorporation or bylaws, and the Company has not taken any action that is inconsistent in any material respect with any resolution adopted by the Company's shareholders, the Company's board of directors or any committee of the Company's board of directors. The books of account, stock records, minute books and other records of the Company are accurate, up-to-date and complete in all material respects, and have been maintained in accordance with prudent business practices.

There has been no violation of any of the provisions of the Incorporation Documents of any of the Acquired Corporations, and no Acquired Corporation has taken any action that is inconsistent in any material respect with any resolution adopted by such Acquired Corporation's shareholders, board of directors or any committee of such Acquired Corporation's board of directors. There have been no meetings or other proceedings of the shareholders of the Seller Corporation, the board of directors of the Seller Corporation or any committee of the board of directors of the Seller Corporation that are not fully reflected in such minutes or other records, other than the meeting of the board of directors of Seller held immediately prior to the execution of, and to approve, this Agreement. The books of account, stock records, minute books and other records of the Seller Corporation are accurate, up-to-date and complete, and have been maintained in accordance with sound and prudent business practices. All of the records of the Seller Corporation are in the actual possession and direct control of the Seller.

There have been no formal meetings held of, or corporate actions taken by, the stockholders of Pubco, the board of directors of Pubco or any committee of the board of directors of Pubco that are not fully reflected in the Pubco Documents. There has not been any violation of any of the Pubco Documents, and at no time has Pubco taken any action that is inconsistent in any material respect with the Pubco Documents. As of the date hereof, there have been no formal meetings or other proceedings of the shareholders of the Company or the Company Subsidiaries, the board of directors of the Company or the Company Subsidiaries or any committee of the board of directors of the Company or the Company Subsidiaries that are not fully reflected in the Company Constituent Documents or the Company Subsidiary Constituent Documents, as applicable. There has not been any violation of the Constituent Documents, and neither the Company nor any Company Subsidiary has taken any action that is inconsistent in any respect with the Constituent Documents. All actions reflected in the Constituent Documents were duly and validly taken in compliance with applicable Legal Requirements. The books of account, stock records, minute books and other records of the Company and the Company Subsidiaries are accurate, up-to-date and complete, and have been maintained in accordance with Legal Requirements and prudent business practices.
