Approved Personnel. The personnel approved as of the FAAR Effective Date to fill the Key First Data Positions are listed in Schedule D. Subject to promotions, dismissals, resignations, and medical leave, such persons will remain in these positions for the period specified in Schedule D.

Approved Personnel. The Research Entity agrees that it will require all of its employees, contractors, and agents of any kind to comply with all applicable provisions of FERPA, and any and all other federal and state laws with respect to the data shared pursuant to this Agreement. The Research Entity agrees that it will require and maintain an appropriate confidentiality agreement with each of its employees, contractors, or agents who have access to the data shared pursuant to this Agreement. Nothing in this paragraph shall be construed to authorize the Research Entity to share any data under this Agreement with any other person or entity for any purpose other than completing the Research Entity’s work as authorized under this Agreement and as described in the Application and Scope of Work Description attached hereto as Exhibit A. If the Research Entity’s study requires its employees, contractors, and agents of any kind to personally and directly interact with ORS students, the Research Entity agrees to allow only those persons who have been cleared by background check through the Tennessee Applicant Processing Services Division of the Tennessee Bureau of Investigation to interact directly with ORS students. All background checks will be performed at the Research Entity’s own expense and all background check documentation must be submitted to ORS’s Supervisor of Teaching and Learning prior to conducting the study. The Research Entity agrees that it will not allow any of its employees, contractors, and agents of any kind who have not undergone the requisite background check to directly interact with ORS students or be present on ORS property.

  • Personnel Provide, without remuneration from or other cost to the Trust, the services of individuals competent to perform the administrative functions which are not performed by employees or other agents engaged by the Trust or by the Adviser acting in some other capacity pursuant to a separate agreement or arrangement with the Trust.

  • Contractors All LAUSD Contractors and their Representatives are expected to conduct any and all business affiliated with LAUSD in an ethical and responsible manner that fosters integrity and public confidence. A “Contractor” is any individual, organization, corporation, sole proprietorship, partnership, nonprofit, joint venture, association, or any combination thereof that is pursuing or conducting business with and/or on behalf of LAUSD, including, without limitation, consultants, suppliers, manufacturers, and any other vendors, bidders or proposers. A Contractor’s “Representative” is also broadly defined to include any subcontractors, employees, agents, or anyone else who acts on a Contractor’s behalf.

  • Manager Personnel The Manager shall authorize and permit any of its directors, officers and employees who may be elected or appointed as Trustees or officers of the Trust to serve in the capacities in which they are elected or appointed. Services to be furnished by the Manager under this Agreement may be furnished through the medium of any of such directors, officers, or employees.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work. The Department supports diversity in its procurements and contracts, and requests that the Contractor offer subcontracting opportunities to certified woman-, veteran-, and minority-owned small businesses. The Contractor may contact the OSD at xxxxxxx@xxx.xxxxxxxxx.xxx for information on certified small business enterprises available for subcontracting opportunities.

  • Sub-contractors Transfer Agent may, without further consent on the part of Customer, subcontract with other subcontractors for telephone and mailing services as may be required from time to time; provided, however, that the Transfer Agent shall be as fully responsible to the Customer for the acts and omissions of any subcontractor as it is for its own acts and omissions.

  • Sales Representatives 22.01 The Employer agree that sales representatives will not per- form work in its stores on items shipped through the warehouse, ex- cept for major promotional periods. In the event that a product line which is currently shipped direct to stores is converted into our xxxx- house, the sales representatives may continue to perform work on these items. Where practicable, the Company shall provide the Union with 4 weeks notice of such conversions.
