Approved Originator. (i) The Administrative Agent shall have received confirmation that there is no pending or threatened action or proceeding affecting such Originator before any Governmental Authority that could reasonably be expected to have a Material Adverse Effect with respect to it;

Approved Originator. The Mortgage Loan was originated (in some cases ------------------- within the meaning contemplated by "no action" letters issued by the Securities Exchange Commission) by (i) a mortgagee approved by the Secretary of Housing and Urban Development pursuant to Sections 203, and 211 of the National Housing Act or by a Supervised Depository Institution; or (ii) by a savings and loan association, bank, credit union, or other depository institution or insurance company supervised as such by a federal or state supervisory agency having jurisdiction over such depository institution or insurance company;

Without limiting the foregoing, the Servicer hereby authorizes, and will, upon the request of the Administrative Agent, at the Servicer’s own expense, execute (if necessary) and file such financing statements or continuation statements, or amendments thereto, and such other instruments and documents, that may be necessary or desirable, or that the Administrative Agent may reasonably request, to perfect, protect or evidence any of the foregoing.

  • Origination Each Receivable was originated in the United States.

  • Accounts and Notes Receivable Schedule 5.11 sets forth an accurate list of the accounts and notes receivable of the Company, as of the Balance Sheet Date, including any such amounts which are not reflected in the balance sheet as of the Balance Sheet Date, and including receivables from and advances to employees and the Stockholders, which are identified as such.   • Depositor Assignment of Repurchased Receivables With respect to all Receivables repurchased by the Seller pursuant to this Agreement, the Depositor shall assign, without recourse, representation or warranty, to the Seller all of the Depositor’s right, title and interest in and to such Receivables and all security and documents relating thereto.

  • No Delinquent Receivables As of the Cutoff Date, no payment due under any Receivable was more than 30 days past due.
