Approvals by Owner. Owner shall have the right to generally review and reasonably approve all aspects of the Project including, but not limited to, all contracts, plans, specifications, designs and schedules and all amendments thereto and deviations therefrom. In addition, all requests or applications, together with all supporting documentation for governmental approvals or permits of any kind, shall be submitted to, and approved by, Owner prior to filing with the governmental agency, and Owner may request copies of all written communications between Builder and the governmental agencies processing such requests or applications. Builder shall immediately notify Owner in writing of any changes to requirements, conditions, or entitlements being sought by any governmental entity whether the change has been requested by the entity either orally or in writing. Builder shall furnish all such items from time to time to Owner and, if Owner fails to notify Builder in writing within Five (5) business days of receipt of such item in question shall be deemed to be approved by Owner.

Approvals by Owner. Developer covenants and agrees that in addition to any Owner approval requirements otherwise set forth herein, Developer shall obtain the prior written approval by Owner for each of the following:
Approvals by Owner. Prior to any Construction Advances under this Agreement, Owner shall approve the Approved Budget, the Project Schedule, the Plans and Specifications, the Architect Agreement and the Contractor Agreement as provided in this Section 4.13. Developer shall submit each of the foregoing documents to Owner as soon as possible and Owner shall, within 15 days after its receipt of each of the foregoing documents and any and all other information related thereto as Owner may reasonably request either (a) approve such document or (b) notify Developer, in writing, of Owner's reasonable and specific grounds for its disapproval of any such document. If Owner shall fail to notify Developer of its reasonable and specific grounds for its disapproval of any such document within the foregoing 15 day period, such document shall be deemed to have been approved. If Owner shall timely notify Developer of its reasonable and specific grounds for its disapproval of any such document, Developer shall, prior to any Construction Advances under this Agreement, revise such document and submit the revised document to Owner for its further consideration and approval. The foregoing process shall be repeated until all of the documents to be approved by Owner pursuant to this Agreement have been approved. Notwithstanding Owner's review and approval of any documents to be approved by Owner, such approval shall not in any way diminish the responsibilities of Developer under this Agreement and Owner shall not be responsible for the content of such documents or the compliance of such documents with the requirements of this Agreement or applicable Laws.
Approvals by Owner. The approval by Owner of any plans, specifications, designs or other items relating to the Project or other matters relating to Development Manager's performance pursuant to this Agreement shall be construed only as an approval of conformity with the Budget and other general aesthetic plans for the Project. Such documents and other items will not be approved for engineering, architectural, design, safety, structural adequacy or compliance with laws or regulations, and Owner, by its approval of any item, assumes no liability or responsibility therefor or for any defect in any Improvement made pursuant thereto. If Owner withholds its approval of any matter, and Development Manager revises its request for approval to conform to Owner's objections, such change shall not be considered a direction by the Owner. Such revised request shall be deemed to be with the Development Manager's consent unless Development Manager expressly states in writing in its request that Development Manager is not in agreement with the proposal, and Owner acknowledges in writing that it is directing Development Manager to act in the proposed manner.
Approvals by Owner. Owner and Manager shall each perform all of their respective obligations under this Agreement in a proper, prompt and timely manner. Each shall furnish the other with such information and assistance as the other may from time to time reasonably request in order to perform its responsibilities hereunder. Owner and Manager each shall take all such actions as the other may from time to time reasonably request and otherwise cooperate with the other so as to avoid or minimize any delay or impairment of either party's performance of its obligations under this Agreement. Owner and Manager shall make every effort to timely respond to any request for approval of any and all necessary issues in order to effectively manage the Property.
Approvals by Owner. When complete, the Design Professional shall submit the bidding documents to the Owner and shall make all changes necessary to obtain approval by the Owner. No changes shall be made to the bidding documents (including those prepared for contract modifications) except with the concurrence of the Owner.

  • Consents and Approvals; No Violations (a) Except as set forth in Schedule 4.2.3(a) of the Crescent Disclosure Schedule, neither the execution and delivery of this Agreement nor the performance by Crescent of its obligations hereunder will (i) conflict with or result in any breach of any provision of the certificate of incorporation or by-laws of Crescent or (ii) result in a violation or breach of, or constitute (with or without due notice or lapse of time or both) a default (or give rise to any right of termination, cancellation or acceleration or obligation to repurchase, repay, redeem or acquire or any similar right or obligation) under any of the terms, conditions or provisions of, any note, mortgage, letter of credit, other evidence of indebtedness, guarantee, license, lease or agreement or similar instrument or obligation to which Crescent or any of its Subsidiaries is a party or by which any of them or any of their assets may be bound or (iii) assuming that the filings, registrations, notifications, authorizations, consents and approvals referred to in subsection (b) below have been obtained or made, as the case may be, violate any order, injunction, decree, statute, rule or regulation of any Governmental Entity to which Crescent or any of its Subsidiaries is subject, excluding from the foregoing clauses (ii) and (iii) such requirements, defaults, breaches, rights or violations (A) that would not, in the aggregate, reasonably be expected to have a Material Adverse Effect and would not reasonably be expected to have a material adverse effect on the ability of Crescent to perform its obligations hereunder or (B) that become applicable as a result of the business or activities in which the Company or any of its affiliates is or proposes to be engaged or any acts or omissions by, or facts pertaining to, the Company. (b) Except as set forth in Schedule 4.2.3(b) of the Crescent Disclosure Schedule, no filing or registration with, notification to, or authorization, consent or approval of, any Governmental Entity is required in connection with the execution and delivery of this Agreement by Crescent or the performance by Crescent of its obligations hereunder, except (i) the filing of the Certificate of Merger in accordance with the DLLCA and the Articles of Merger in accordance with the MGCL and filings to maintain the good standing of the Surviving Entity; (ii) compliance with any applicable requirements of the Securities Act and the Exchange Act; (iii) compliance with any applicable requirements of state takeover laws; (iv) any Tax Returns that may be required in connection with the Merger and (v) such other consents, approvals, orders, authorizations, notifications, registrations, declarations and filings (A) the failure of which to be obtained or made would not, in the aggregate, reasonably be expected to have a Material Adverse Effect and would not have a material adverse effect on the ability of Crescent to perform its obligations hereunder or (B) that become applicable as a result of any acts or omissions by, or facts pertaining to, the Company. 4.2.4

  • Governmental Approvals and Consents (a) Each party hereto shall, as promptly as possible, (i) make, or cause or be made, all filings and submissions required under any Law applicable to such party or any of its Affiliates; and (ii) use reasonable best efforts to obtain, or cause to be obtained, all consents, authorizations, orders and approvals from all Governmental Authorities that may be or become necessary for its execution and delivery of this Agreement and the performance of its obligations pursuant to this Agreement and the Ancillary Documents. Each party shall cooperate fully with the other party and its Affiliates in promptly seeking to obtain all such consents, authorizations, orders and approvals. The parties hereto shall not willfully take any action that will have the effect of delaying, impairing or impeding the receipt of any required consents, authorizations, orders and approvals.

  • Consents and Approvals; No Conflicts (a) The execution, delivery and performance by Parent and each Merger Sub of this Agreement and the consummation by Parent and each Merger Sub of the transactions contemplated hereby do not and will not require any Consent of, or Filing with, any Governmental Entity, other than (i) the filing with the SEC of the preliminary Joint Proxy Statement, the Joint Proxy Statement and the Form S-4, (ii) the filing of the Certificate of Merger with the Secretary of State of the State of Delaware pursuant to the DGCL, (iii) the filing of a certificate of merger with respect to the Second Merger with the Secretary of State of the State of Delaware pursuant to the DGCL and the DLLC, (iv) the Parent Stockholder Approval, (v) filings, permits, authorizations, consents, notice to and approvals as may be required under, and other applicable requirements of, (A) the Exchange Act, (B) the Securities Act, (C) the rules and regulations of the NYSE and (D) the HSR Act, and (vi) such other Consents of, or Filings with, any Governmental Entity the failure of which to obtain or make, individually or in the aggregate, has not had and would not reasonably be expected to have a Parent Material Adverse Effect.
