Common use of Approval for Listing Clause in Contracts

Approval for Listing. The Placement Shares shall either have been approved for listing on the Exchange and the TSX, subject only to notice of issuance, or the Company shall have filed an application for listing of the Placement Shares on the Exchange or the TSX at, or prior to, the issuance of any Placement Notice.

The Placement Shares shall either have been (i) approved for listing on the Exchange and the TSXNYSE, subject only to notice of issuance, and conditionally approved for listing on the TSX or (ii) the Company shall have filed an application for listing of the Placement Shares on the Exchange or the TSX and NYSE at, or prior to, the issuance of any Placement Notice.

The Placement Shares shall either have been approved for listing on the Exchange Amex and the TSXTSX (or the securities exchange upon which the Common Stock is listed), subject only to notice of issuance, or the Company shall have filed an application for listing of the Placement Shares on Amex and the Exchange TSX (or the TSX securities exchange upon which the Common Stock is listed) at, or prior to, the issuance of any Placement Notice.
