Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Deposited Property and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the Deposit Agreement and the applicable ADRs. Each Holder and each Beneficial Owner, upon acceptance of any ADSs (or any interest therein) issued in accordance with the terms and conditions of the Deposit Agreement or by continuing to hold, from and after the date hereof any American depositary shares issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the Deposit Agreement and the applicable ADR(sReceipt(s), and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the Deposit Agreement and the applicable ADR(sReceipt(s), to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary in its sole discretion may deem necessary or appropriate to carry out the purposes of the Deposit Agreement and the applicable ADR(sReceipt(s), the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.

Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Deposited Property Securities and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the this Deposit Agreement and the applicable ADRs. Each Holder and each Beneficial Owner, upon acceptance of any ADSs (or any interest therein) issued in accordance with the terms and conditions of the this Deposit Agreement or by continuing to hold, from and after the date hereof hereof, any American depositary shares share issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the this Deposit Agreement and the applicable ADR(s), and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the this Deposit Agreement and the applicable ADR(s), to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary in its sole discretion may deem necessary or appropriate to carry out the purposes of the this Deposit Agreement and the applicable ADR(s), the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.

Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Deposited Property Securities and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the this Deposit Agreement and the applicable ADRs. Each Holder and each Beneficial Owner, upon acceptance of any ADSs (or any interest therein) issued in accordance with the terms and conditions of the this Deposit Agreement or by continuing to hold, from and after the date hereof any American depositary shares issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the this Deposit Agreement and the applicable ADR(s), and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the this Deposit Agreement and the applicable ADR(s), to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary in its sole discretion may deem necessary or appropriate to carry out the purposes of the this Deposit Agreement and the applicable ADR(s), the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.

Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Rule 144A Deposited Property Securities and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the this Rule 144A Deposit Agreement and the applicable ADRsAgreement. Each Holder and each Beneficial Owner, upon acceptance of any ADSs Rule 144A GDSs (or any interest therein) issued in accordance with the terms and conditions of the this Rule 144A Deposit Agreement or by continuing to hold, from and after the date hereof any American Rule 144A global depositary shares issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the this Rule 144A Deposit Agreement and the applicable ADR(s), and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the this Rule 144A Deposit Agreement and the applicable ADR(s)Agreement, to adopt any and all procedures necessary to comply with applicable law laws and to take such action as the Depositary in its sole discretion may deem necessary or appropriate to carry out the purposes of the this Rule 144A Deposit Agreement and the applicable ADR(s), (the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof).

Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Deposited Property and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the Deposit Agreement and the applicable ADRsReceipts. Each Holder Owner and each Beneficial Owner, upon acceptance of any ADSs American Depositary Share (or any interest therein) issued in accordance with the terms and conditions of the Deposit Agreement Agreement, or by continuing to hold, from and after the date hereof hereof, any American depositary shares share issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the Deposit Agreement and the applicable ADR(sReceipt(s), and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the Deposit Agreement and the applicable ADR(sReceipt(s), and to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary law, in its sole discretion may deem necessary or appropriate each case, to carry out the purposes of the Deposit Agreement and the applicable ADR(sReceipt(s), the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.

Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Deposited Property Securities and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the this Deposit Agreement and the applicable ADRs. Each Holder and each Beneficial Owner, upon acceptance of any ADSs (or any interest therein) issued in accordance with the terms and conditions of the this Deposit Agreement or by continuing to hold, from and after the date hereof any American depositary shares issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the this Deposit Agreement and the applicable ADR(s)ADRs, and (b) appoint the Depositary its attorney-attorney- in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the this Deposit Agreement and the applicable ADR(s)ADRs, to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary in its sole discretion may deem necessary or appropriate to carry out the purposes of the this Deposit Agreement and the applicable ADR(s)ADRs, the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.

Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Deposited Property and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the Deposit Agreement and the applicable ADRs. Each Holder Owner and each Beneficial Owner, upon acceptance of any ADSs (or any interest therein) issued in accordance with the terms and conditions of the Deposit Agreement or by continuing to hold, from and after the date hereof hereof, any American depositary shares issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the Deposit Agreement and the applicable ADR(s), and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the Deposit Agreement and the applicable ADR(s), to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary in its sole discretion may deem necessary or appropriate to carry out the purposes of the Deposit Agreement and the applicable ADR(s), the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.

Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Deposited Property Securities and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the Deposit Agreement and the applicable ADRsReceipt(s). Each Holder Owner and each Beneficial Owner, upon acceptance of any ADSs American Depositary Shares (or any interest therein) issued in accordance with the terms and conditions of the Deposit Agreement or by continuing to hold, from and after the date hereof any American depositary shares issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the Deposit Agreement and the applicable ADR(sReceipt(s), subject to the terms of Sections 1.03 and 7.13, and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the Deposit Agreement and the applicable ADR(sReceipt(s), to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary in its sole discretion may deem necessary or appropriate to carry out the purposes of the Deposit Agreement and the applicable ADR(sReceipt(s), the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.

Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Deposited Property and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the Deposit Agreement and the applicable ADRs. Each Holder and each Beneficial Owner, upon acceptance of any ADSs (or any interest therein) issued in accordance with the terms and conditions of the Deposit Agreement or by continuing to hold, from and after the date hereof any American depositary shares issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the Deposit Agreement and the applicable ADR(s), and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the Deposit Agreement and the applicable ADR(s), to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary in its sole discretion may reasonably deem necessary or appropriate to carry out the purposes of the Deposit Agreement and the applicable ADR(s), the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.

Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Deposited Property and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the Deposit Agreement and the applicable ADRsReceipts. Each Holder Owner and each Beneficial Owner, upon acceptance of any ADSs American Depositary Share (or any interest therein) issued in accordance with the terms and conditions of the Deposit Agreement Agreement, or by continuing to hold, from and after the date hereof hereof, any American depositary shares share issued and outstanding under the Original Prior Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the Deposit Agreement and the applicable ADR(sReceipt(s), and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the Deposit Agreement and the applicable ADR(sReceipt(s), and to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary law, in its sole discretion may deem necessary or appropriate each case, to carry out the purposes of the Deposit Agreement and the applicable ADR(sReceipt(s), the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.

Appointment of Depositary. The Company hereby appoints the Depositary as depositary for the Deposited Property Securities and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the Deposit Agreement and the applicable ADRs. Each Holder and each Beneficial Owner, upon acceptance of any ADSs (or any interest therein) issued in accordance with the terms and conditions of the Deposit Agreement or by continuing to hold, from and after the date hereof any American depositary shares issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the Deposit Agreement and the applicable ADR(s), subject, in the case of any amendment of the Original Deposit Agreement effected under the terms of the Deposit Agreement which prejudices any substantial existing right of "Owners" to the notice period set forth in Section 1.4, and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the Deposit Agreement and the applicable ADR(s), to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary in accordance with the Deposit Agreement and its sole discretion may deem necessary or appropriate to carry out the purposes of the Deposit Agreement and the applicable ADR(s), the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.

Appointment of Depositary. The Company hereby appoints the Depositary as exclusive depositary for the Deposited Property Securities and hereby authorizes and directs the Depositary to act in accordance with the terms and conditions set forth in the this Deposit Agreement and the applicable ADRsAgreement. Each Holder and each Beneficial Owner, upon acceptance of any ADSs (or any interest therein) issued in accordance with the terms and conditions of the this Deposit Agreement Agreement, or by continuing to hold, from and after the date hereof any American depositary shares issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the this Deposit Agreement and the applicable ADR(s) subject to Section 7.12(c), ; and (b) appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the this Deposit Agreement and the applicable ADR(s)Agreement, to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary in its sole discretion may deem necessary or appropriate to carry out the purposes of the this Deposit Agreement and the applicable ADR(s), ) (the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof).

Appointment of Depositary. Each Holder and each Beneficial Owner, upon acceptance of any ADSs (or any interest therein) issued in accordance with the terms and conditions of the Deposit Agreement Agreement, or by continuing to hold, from and after the date hereof any American depositary shares issued and outstanding under the Original Deposit Agreement, shall be deemed for all purposes to (a) be a party to and bound by the terms of the Deposit Agreement and the applicable ADR(s) (subject to Section 7.11), and (b) appoint b)appoint the Depositary its attorney-in-fact, with full power to delegate, to act on its behalf and to take any and all actions contemplated in the Deposit Agreement and the applicable ADR(s), to adopt any and all procedures necessary to comply with applicable law and to take such action as the Depositary in accordance with the Deposit Agreement and in its sole discretion may deem necessary or appropriate to carry out the purposes of the Deposit Agreement and the applicable ADR(s), the taking of such actions to be the conclusive determinant of the necessity and appropriateness thereof.
