APPOINTMENT OF ADVISER. The Trust hereby employs the Adviser, and the Adviser hereby accepts such employment, to render investment advice and related services as set forth in Section 2(a) below with respect to the assets of each Fund for the period and on the terms set forth in this Agreement, subject to the supervision and direction of the Trust’s Board of Trustees (the “Board of Trustees” or “Board”).

APPOINTMENT OF ADVISER. The Trust hereby employs the Adviser, Adviser and the Adviser hereby accepts such employment, to render investment advice and related services, including the oversight of the portfolio management services as set forth to be rendered by any Sub-Advisers and the purchase and sale of securities held in Section 2(a) below the portfolios of the Funds, with respect to the assets of each Fund the Funds for the period and on the terms set forth in this Agreement, subject to the supervision and direction of the Trust’s Board of Trustees (the “Board of Trustees” or “BoardTrustees”).
