Each Bank irrevocably hereby appoints and authorizes the Agent to take such action as agent on its behalf and to exercise such powers under this Agreement and the Notes as are delegated to the Agent by the terms hereof or thereofhereof, together with all such powers as are reasonably incidental thereto.

Each Bank hereby irrevocably appoints and authorizes the Agent to take such action as agent on its behalf and to exercise such powers under this Agreement Agreement, the Notes and the Notes Security Documents as are delegated to the Agent by the terms hereof or thereof, together with all such powers as are reasonably incidental thereto. The Agent may perform any of its duties hereunder by or through its agents or employees.

SECTION 7.2.

Neither Agent nor any of its directors, officers, attorneys or employees shall be liable for any action taken or omitted to be taken by it or them hereunder or in connection herewith, except for its or their own gross negligence or willful misconduct.

Each Bank irrevocably appoints and authorizes each Agent and the Security Agent to enter into and act as its agent in connection with the Collateral Documents and to take such action as agent on its behalf and to exercise such powers under this Agreement and the Notes Loan Documents as are delegated to the such Agent by the terms hereof or thereof, together with all such powers as are reasonably incidental thereto.
