Application of Funds Upon Exercise of Warrants. Any funds delivered to the Warrant Agent upon exercise of any Warrant(s) shall be held by the Warrant Agent in trust for the Company. The Warrant Agent shall promptly deliver and pay to or upon the written order of the Company all funds received by it upon the exercise of any Warrants by bank wire transfer to an account designated by the Company or as the Warrant Agent otherwise may be directed in writing by the Company.

Application of Funds Upon Exercise of Warrants. All funds received by the Warrant Agent under this Agreement that are to be distributed or applied by the Warrant Agent in the performance of services (the “Funds”) shall be held by the Warrant Agent in its name as agent for the Company. The Warrant Agent shall promptly notify both the Company and the transfer agent for the Common Stock in writing of any exercise of any Warrants, (after receipt, where applicable, from the Company of the Cashless Exercise Ratio) of the number of Warrants being exercised, the identity of the Persons exercising such Warrants, the amount of money (if any) received by it upon the exercise of the Warrants and the number of shares of Common Stock delivered upon the exercise of such Warrants.
