Applicable Fraction. For each year, or portion thereof, in the Extended Use Period, the Applicable Fraction will not be less than the Applicable Fraction specified in Exhibit “A”.

Applicable Fraction. If Parent makes the All-Cash Election, “Per Share Consideration” shall mean the All-Cash Dollar Amount.

Applicable Fraction. The "Applicable Fraction" is equal to the quotient obtained by dividing (A) the quotient obtained by dividing (x) the product of 1.5 multiplied by the Net Cash by (y) the Company Preferred Share Amount by (B) the Designated Parent Stock Price.
