Common use of Appearance as a Witness Clause in Contracts

Appearance as a Witness. Notwithstanding any other provision of this Article VII, the LLC shall pay or reimburse reasonable out-of-pocket expenses incurred by a Manager, Officer or employee of the LLC in connection with his appearance as a witness or other participation in a Proceeding at a time when he is not a named defendant or respondent in the Proceeding.

Appearance as a Witness. Notwithstanding any other provision of this Article ARTICLE VII, the LLC shall pay or reimburse reasonable out-of-pocket expenses incurred by a Manager, Manager or Officer or employee of the LLC in connection with his appearance as a witness or other participation in a Proceeding at a time when he is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article VII, Holdings LLC may (with the LLC shall prior approval of the Board) pay or reimburse reasonable out-of-pocket expenses incurred by a Manageran Officer, Officer employee or employee of the LLC agent in connection with his or her appearance as a witness or other participation in a Proceeding at a time when he such Person is not a named defendant or respondent in the Proceeding.
