Common use of Appearance as a Witness Clause in Contracts

Appearance as a Witness. Notwithstanding any other provision of this Section 7.4, the Company shall pay or reimburse out of pocket expenses incurred by any Person entitled to be indemnified pursuant to this Section 7.4 in connection with such Person’s appearance as a witness or other participation in an Action at a time when such Person is not a named defendant or respondent in the Action.

Appearance as a Witness. Notwithstanding any other provision of this Section 7.4Article VII, the Company shall pay or reimburse out of pocket expenses incurred by any Person entitled to be indemnified pursuant to this Section 7.4 Article VII in connection with such Person’s appearance as a witness or other participation in an Action a Proceeding at a time when such Person he is not a named defendant or respondent in the ActionProceeding.

Notwithstanding any other provision of this Section 7.4Article VII, the Company LLC shall pay or reimburse out of reasonable out-of-pocket expenses incurred by any Person entitled to be indemnified pursuant to this Section 7.4 a Manager or Officer in connection with such Person’s his appearance as a witness or other participation in an Action a Proceeding at a time when such Person he is not a named defendant or respondent in the ActionProceeding.

Notwithstanding any other provision of this Section 7.47.6, the Company shall pay or reimburse out of pocket expenses incurred by any Person entitled to be indemnified pursuant to this Section 7.4 7.6 in connection with such Person’s appearance as a witness or other participation in an Action at a time when such Person is not a named defendant or respondent in the Action.

Notwithstanding any other provision of this Section 7.4VIII, the Company shall may pay or reimburse out of reasonable out-of-pocket expenses incurred by any Person entitled to be indemnified pursuant to this Section 7.4 a Member, manager, director, officer, employee or agent of the Company in connection with such Person’s appearance as a witness or other participation in an Action a Proceeding at a time when such Person is not a named defendant or respondent in the ActionProceeding.

Notwithstanding any other provision of this Section 7.4Article 4, the Company shall pay or reimburse out of pocket expenses incurred by any Person entitled to be indemnified pursuant to this Section 7.4 Article 4 in connection with such Person’s appearance as a witness or other participation in an Action a Proceeding at a time when such Person he is not a named defendant or respondent in the ActionProceeding.

Notwithstanding any other provision of this Section 7.47.5, the Company shall pay or reimburse out of pocket expenses incurred by any Person entitled to be indemnified pursuant to this Section 7.4 7.5 in connection with such Person’s appearance as a witness or other participation in an Action at a time when such Person is not a named defendant or respondent in the Action.

If that Person is a named defendant or respondent, the claims in the Proceeding are indemnifiable under this Article 7.

Notwithstanding any other provision of this Section 7.43.08(b), the Company shall may pay or reimburse out reimburse, in the sole discretion of pocket the Board, expenses incurred by any Indemnified Person entitled to be indemnified pursuant to this Section 7.4 in connection with such Person’s his or her appearance as a witness or other participation in an Action a Proceeding at a time when such Indemnified Person is not a named defendant or respondent in the ActionProceeding.
