Common use of Appearance as a Witness Clause in Contracts

Appearance as a Witness. Notwithstanding any other provision of this Article VIII, the Company may pay or reimburse expenses incurred by the Member, any Director or any Officer in connection with such Member’s, Director’s or Officer’s appearance as a witness or other participation in a Proceeding at a time when such Member, Director or Officer is not a named defendant or respondent in the Proceeding.

Appearance as a Witness. Notwithstanding any other provision of this Article VIII8, the Company may pay or reimburse reasonable out-of-pocket expenses incurred by the any Member, any Director officer or any Officer agent in connection with such Member’s, Director’s his or Officer’s her appearance as a witness or other participation in a Proceeding at a time when such Member, Director or Officer he is not a named defendant or respondent in the Proceeding.

Appearance as a Witness. Notwithstanding any other provision of this Article VIII, the Company may pay or reimburse reasonable out-of-pocket expenses incurred by the Membera Manager, any Director officer or any Officer employee in connection with such Member’s, Director’s his or Officer’s her appearance as a witness or other participation in a Proceeding related to or arising out of the business of the Company at a time when such Member, Director he or Officer she is not a named defendant or respondent in the Proceeding.

Appearance as a Witness. Notwithstanding any other provision of this Article VIIISection 17, the Company may shall pay or reimburse reasonable out-of-pocket expenses incurred by the Member, any Director a Manager or any Officer in connection with such Member’s, Director’s his or Officer’s her appearance as a witness or other participation in a Proceeding at a time when such Member, Director he or Officer she is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article VIII, the Company Company, at the sole discretion of the Board, may pay or reimburse reasonable out-of-pocket expenses incurred by the a Director, Member, any Director Officer, employee or any Officer agent in connection with such Member’s, Director’s or Officer’s his appearance as a witness or other participation in a Proceeding at a time when such Member, Director or Officer he is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article VIIIIX, the Company may pay or reimburse reasonable out-of-pocket expenses incurred by the Membera Manager, any Director officer or any Officer employee in connection with such Member’s, Director’s his or Officer’s her appearance as a witness or other participation in a Proceeding related to or arising out of the business of the Company at a time when such Member, Director he or Officer she is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article VIII, XII the Company may pay or reimburse expenses incurred by the a Member, any Director Manager, officer, employee or any Officer agent in connection with such Member’s, Director’s or Officer’s his appearance as a witness or other participation in a Proceeding at a time when such Member, Director or Officer he is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article VIIIVII, the Company may pay or reimburse expenses incurred by the Member, any Director or any Officer Person entitled to be indemnified pursuant to this Article VII in connection with such Member’s, Director’s or OfficerPerson’s appearance as a witness or other participation in a Proceeding at a time when such Member, Director or Officer he is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article ARTICLE VIII, the Company may pay or reimburse reasonable out-of-pocket expenses incurred by the Member, any Director Sole Member or any Officer Director, Officer, employee or agent of the Company in connection with such Member’s, Director’s or Officer’s his appearance as a witness or other participation in a Proceeding at a time when such Member, Director or Officer he is not a named defendant or respondent in the Proceeding.

Notwithstanding any other provision of this Article VIIISection 13, the Company may may, at the direction of the Member, pay or reimburse reasonable out-of-pocket expenses incurred by the MemberMember or by any Manager, any Director former member, former manager, Officer, employee or any Officer agent in connection with such Member’shis, Director’s her or Officer’s its appearance as a witness or other participation in a Proceeding at a time when such Memberhe, Director she or Officer it is not a named defendant or respondent in the Proceeding.
