Common use of Any Other Reason Clause in Contracts

Any Other Reason. Upon termination of the Employee’s employment prior to the Vesting Date for any reason (whether initiated by the Company or by the Employee) other than a termination by the Company without Cause, a Special Termination or Retirement, all PRSUs (including any Earned PRSUs that have not vested) shall be forfeited and canceled for no consideration effective as of the date of such termination.
