ANTITRUST ASSIGNMENT CLAUSE. Seller and Xxxxx acknowledge that overcharges by manufacturers are in fact borne by Xxxxx, and not Seller. Seller, therefore, agrees to assign to Buyer any and all claims which it may have for overcharges as to goods and materials purchased in connection with any contract between Buyer and Seller arising out of antitrust or similar actions, except as to overcharges which commence after the price is established under any contract between Buyer and Seller, and which are not passed on to the Buyer under an escalation clause.

ANTITRUST ASSIGNMENT CLAUSE. Vendor and the Port recognize that in actual economic practice, overcharges resulting from antitrust violations are in fact usually borne by the Port. Vendor therefore hereby assigns to the Port any and all claims for such overcharges as to goods purchased in connection with this order, except as to overcharges which result from antitrust violations commencing after the price is established under this order and which are not passed on to the Port under an escalation clause.

Notwithstanding the foregoing, such prior written consent of an assignment of a contract let pursuant to Article XI of the State Finance Law may be waived at the discretion of the contracting agency and with the concurrence of the State Comptroller where the original contract was subject to the State Comptroller’s approval, where the assignment is due to a reorganization, merger or consolidation of the Contractor’s business entity or enterprise. The State retains its right to approve an assignment and to require that any Contractor demonstrate its responsibility to do business with the State. The Contractor may, however, assign its right to receive payments without the State’s prior written consent unless this contract concerns Certificates of Participation pursuant to Article 5-A of the State Finance Law.

  • GOVERNMENT CLAUSES Government clauses applicable to this contract are incorporated herein either by attachment to this document or by some other means of reference.
