Common use of Anti-Bribery and Anti-Corruption Laws Clause in Contracts

Anti-Bribery and Anti-Corruption Laws. (i) The Loan Parties are in compliance with the U.S. Foreign Corrupt Practices Act of 1977, as amended (the “FCPA”), and the anti-bribery and anti-corruption laws of those jurisdictions in which they do business (collectively, the “Anti-Corruption Laws”).

Anti-Bribery and Anti-Corruption Laws. (i) The Loan Parties and Subsidiaries, and any controlled Affiliates of any of the Loan Parties, are and for the past five years have been in compliance in all material respects with the U.S. Foreign Corrupt Practices Act of 1977, as amended (the “FCPA”), and the anti-bribery and anti-corruption laws of those jurisdictions in which they do business (collectively, the “Anti-Corruption Laws”).

(i) The Loan Parties and Subsidiaries, and to the best knowledge of any Loan Party, any controlled Affiliates of any of the Loan Parties, are and for the past five years have been in compliance in all material respects with the U.S. Foreign Corrupt Practices Act of 1977, as amended (the “FCPA”), and the anti-bribery and anti-corruption laws of those jurisdictions in which they do business (collectively, the “Anti-Corruption Laws”).

(i) The Each Loan Parties Party and its Subsidiaries are in compliance with the U.S. Foreign Corrupt Practices Act of 1977, as amended (, the “FCPA”), UK Bribery Act and the anti-bribery and anti-corruption laws of those jurisdictions in which they do business applicable to such Loan Party and its Subsidiaries (collectively, the “Anti-"Anti- Corruption Laws”"), except where the failure to so comply could not reasonably be expected to have a Material Adverse Effect.
