Common use of Annual Officer’s Certificate Clause in Contracts

Annual Officer’s Certificate. (a) The Servicer shall deliver to the Master Servicer and the Sarbanes Certifying Party, on or before February 28, each year beginning February 28, 2006, (i) an Officer’s Certificate, stating that (1) a review of the activities of the Servicer during the preceding calendar year and of performance under this Agreement or similar agreements has been made under such officer’s supervision, and (2) to the best of such officer’s knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof and the action being taken by the Servicer to cure such default or (ii) such other certificates as may be required under applicable law or regulation. The Seller shall cause the Depositor to provide a copy of such report to the Trustee.

The Seller shall cause the Depositor to provide a copy of such report to the Trustee.

The Seller shall cause the Depositor to provide a copy of such report to the Trustee.

(a) The Servicer shall deliver to the Master Servicer and the Sarbanes Certifying Party, on or before February 2828 (or if not a Business Day, the immediately preceding Business Day) of each year beginning February 28, 20062005, (i) an Officer’s Certificate, stating that (1i) a review of the activities of the Servicer during the preceding calendar year and of performance under this Agreement or similar agreements has been made under such officer’s supervision, and (2ii) to the best of such officer’s knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof and the action being taken by the Servicer to cure such default or (ii) such other certificates as may be required under applicable law or regulationdefault. The Seller shall will cause the Depositor to provide a copy of such report to the Trustee.

The Seller shall cause the Depositor to provide a copy of such report to the Trusteedefault.

The Seller shall cause the Depositor to provide a copy of such report to the Indenture Trustee.

Annual Officer’s Certificate. (a) The Servicer shall deliver to the Master Servicer and the Sarbanes Certifying Party, on or before February 28, each year beginning February 28, 20062005, (i) an Officer’s CertificateCertificate or such other certificates as may be required under applicable law or regulation, stating that (1i) a review of the activities of the Servicer during the preceding calendar year and of performance under this Agreement or similar agreements has been made under such officer’s supervision, and (2ii) to the best of such officer’s knowledge, based on such review, the Servicer has fulfilled all its obligations under this Agreement throughout such year, or, if there has been a default in the fulfillment of any such obligation, specifying each such default known to such officer and the nature and status thereof and the action being taken by the Servicer to cure such default or (ii) such other certificates as may be required under applicable law or regulationdefault. The Seller shall cause the Depositor to provide a copy of such report to the Indenture Trustee.
