American Red Cross. (a) Gen-Probe is contemplating entering into an agreement with the American Red Cross (the "ARC") to supply Initial Blood Screening Assays for testing pooled plasma samples for HIV and HCV contamination (the "ARC Agreement"). The provisions of this Section 3.6.1(a) shall be effective immediately upon Chiron's consent to the terms of the ARC Agreement between Gen-Probe and the ARC, which consent shall not be unreasonably withheld. Upon approval of the ARC Agreement by Chiron following the signing of this Agreement by both parties, then notwithstanding anything to the contrary in this Agreement, Chiron hereby grants to Gen-Probe a license under the Chiron IP Rights, and Gen-Probe reserves the right under the Gen-Probe IP Rights, to make, use and sell Initial Blood Screening Assays in order to perform Gen-Probe's obligations under the ARC Agreement. Gen-Probe shall not have the right to grant sublicenses under such license, without the prior express written consent of Chiron. The license to be granted hereunder shall not be subject to the conditions of Article 12.
American Red Cross. 20.9.6 Any employee claiming this religious exemption shall, as a condition of continued exemption from the requirement of paying the service fee, furnish the District with copies of receipts from the charity selected, by June 1, as proof that such payments have been made, or shall authorize payroll deduction of such payments. The District shall provide the Association with copies of such proof. If any employee who claims this religious exemption requests the Association use the grievance procedure on that employee's behalf, the Association shall charge the employee for the reasonable cost of using such procedure.

(U.S. Congress, act of January 5, 1905, as amended, 36 U.S.C) The authority of the ARC to provide disaster services was reaffirmed by federal law in the 1974 Disaster Relief Act (Public Law 93-288) and in the 1988 Xxxxxx X. Xxxxxxxx Disaster Relief and Emergency Assistance Act.
American Red Cross. (ARC) To the extent of its abilities, the American Red Cross will provide, at no charge to disaster victims, disaster relief assistance including emergency mass care and individual assistance for individuals with urgent and verified disaster-caused needs, as well as long term recovery assistance. Assistance is provided to sustain human life, reduce the harsh physical and emotional distress that prevents victims from meeting their own basic needs, and promote the recovery of victims when such relief assistance is not available from other resources. American Red Cross assistance to disaster victims is not dependent upon a local, state or federal declaration. All American Red Cross Disaster Services are provided in accordance with the American Red Cross Disaster Services Regulations and Procedures. The American Red Cross will maintain administrative and financial control over its activities. In carrying out its responsibilities to provide for mass care in peacetime disasters, including precautionary evacuations and peacetime radiological emergencies/nuclear accidents, the American Red Cross will operate appropriate shelter facilities and arrange for mass feeding and other appropriate support. In doing so, the American Red Cross will pay related costs only when such activities are under administrative control of or authorized by the American Red Cross, or when prior written agreements have been made for some other organization to provide emergency services on behalf of the American Red Cross. The American Red Cross disaster responsibilities are nationwide. Therefore, when the local chapters in the affected area are unable to meet the needs of disaster victims, the resources of the total organization are made available. The American Red Cross of Greater Chicago can be reached at 312.729.6100. If necessary, the American Red Cross operates a Disaster Welfare Inquiry Service, which responds to inquiries from individuals who are concerned about their relatives that may have been impacted by the disaster. This service may be operated in addition to, or in conjunction with, the City of Chicago’s Emergency Information Telephone Bank. In providing disaster relief, the American Red Cross has both a legal and a moral mandate that it has neither the authority nor the right to surrender. The American Red Cross has both the power and the duty to act in disaster, and its prompt action is clearly expected and supported by the public.

  • Fund Administration Treasury Services a. Prepare for the review by designated officer(s) of the Trusts’ financial information that will be included in the Trusts’ semi-annual and annual shareholder reports (which shall also be subject to review by the Trusts’ legal counsel), and other quarterly reports (as mutually agreed upon), including tax footnote disclosures where applicable;

  • Contract Administration The Delegate shall cause that the foreign custody arrangements with an Eligible Foreign Custodian shall be governed by a written contract that the Delegate has determined will provide reasonable care for Fund assets based on the standards applicable to custodians in the relevant market. Each such contract shall, except as set forth in the last paragraph of this subsection (b), include provisions that provide:

  • Custodial Services The charges and expenses of the custodian appointed by the Trust for custodial services;

  • FUND ADMINISTRATION SERVICES BNY Mellon shall provide the following fund administration services for each Fund, Series and class:  Calculate Fund approved income and per share amounts required for periodic distributions to be made by the applicable Fund, Series or class;  Coordinate a Fund’s annual audit and respond timely and completely to related requests;  Cooperate with each Fund’s independent auditors;  Supply various normal and customary portfolio and Fund statistical data as requested on an ongoing basis; and  If the chief executive officer or chief financial officer of a Fund is required to provide a certification as part of the Fund’s Form N-Q or Form N-CSR filing pursuant to regulations promulgated by the SEC under Section 302 of the Xxxxxxxx-Xxxxx Act of 2002, provide a sub-certification in support of certain matters set forth in the aforementioned certification. Such sub-certification is to be in such form and relating to such matters as reasonably agreed to by BNY Mellon in advance. BNY Mellon shall be required to provide the sub-certification only during the term of this Agreement with respect to the applicable Fund or Series and only if it receives such cooperation as it may request to perform its investigations with respect to the sub-certification. For clarity, the sub-certification is not itself a certification under the Xxxxxxxx-Xxxxx Act of 2002 or under any other law, rule or regulation. REGULATORY ADMINISTRATION SERVICES BNY Mellon shall provide the following regulatory administration services for each Fund and Series:  Assist the Fund in responding to SEC examination requests by providing requested documents in the possession of BNY Mellon that are on the SEC examination request list and by making employees responsible for providing services available to regulatory authorities having jurisdiction over the performance of such services as may be required or reasonably requested by such regulatory authorities;  Assist with and/or coordinate such other filings, notices and regulatory matters and other due diligence requests or requests for proposal on such terms and conditions as BNY Mellon and the applicable Fund on behalf of itself and its Series may mutually agree upon in writing from time to time; and

  • Asset Management Fees (i) Except as provided in Section 8.03(ii) hereof, the Company shall pay the Advisor as compensation for the services described in Section 3.03 hereof a monthly fee (the “Asset Management Fee”) in an amount equal to one-twelfth of 0.75% of the sum of the Cost of Real Estate Investments and the Cost of Loans and other Permitted Investments. The Advisor shall submit a monthly invoice to the Company, accompanied by a computation of the Asset Management Fee for the applicable period. The Asset Management Fee shall be payable on the last day of such month, or the first business day following the last day of such month. The Asset Management Fee may or may not be taken, in whole or in part, as to any period in the sole discretion of the Advisor. All or any portion of the Asset Management Fees not taken as to any period shall be deferred without interest and may be paid in such other fiscal period as the Advisor shall determine.

  • Loan Servicing The servicing practices used with respect to each Mortgage Loan have been in all material respects legal, proper, and prudent.
