Amendments; Extension; Waiver. This Agreement may not be amended, altered or modified except by written instrument executed by each of the parties. The failure by any party hereto to enforce at any time any of the provisions of this Agreement shall in no way be construed to be a waiver of any such provision nor in any way to affect the validity of this Agreement or any part hereof or the right of such party thereafter to enforce each and every such provision. No waiver of any breach of or non-compliance with this Agreement shall be held to be a waiver of any other or subsequent breach or non-compliance. Any waiver made by any party hereto in connection with this Agreement shall not be valid unless agreed to in writing by such party.

Notwithstanding anything to the contrary contained in this Agreement, the parties hereto acknowledge and agree that Buyers shall be entitled to amend or modify the Purchased Interest Schedule, without the consent of any other Person, prior to the Closing for the purpose of re-allocating the amounts of Class A Interests and/or Class B Interests to be purchased pursuant to this Agreement among the Buyers, or any Affiliate(s) to which a Buyer’s rights and obligations under this Agreement are assigned pursuant to Section 10.6 (for the avoidance of doubt, no such re-allocation shall reduce or enlarge the aggregate amount of all Class A Interests and Class B Interests to be purchased by all Buyers under this Agreement).
