Amendment to Article 10. Article 10 of the Contribution Agreement shall be amended and restated to read as follows:
Amendment to Article 10. Section 10.1 of the Stock Purchase Agreement is hereby deleted in its entirety and replaced with the following:
Amendment to Article 10. In connection with amendments being made to the Purchase Agreement pursuant to this Amendment, the Parties desire to amend Article 10 of the Purchase Agreement to amend the definition of the term “Note” and to add certain defined terms. As such, Article 10 of the Purchase Agreement is hereby amended by amending Section 10.80 of the Purchase Agreement to read in its entirely as follows:
Amendment to Article 10. 7.1. Section 10.2 is amended by replacing the instance of the word “tax matters partner” with “tax matters partner or tax representative (as the case may be)”
Amendment to Article 10. Article 10 of the Credit Agreement is hereby amended by inserting the following new Section 10.22 at the end of such Article:
Amendment to Article 10. Section 10.1 of the Credit Agreement, Events of Default (Senior Obligations), is hereby modified and amended by deleting the world "or" after item (r) thereof, deleting the period after item (s) thereof and inserting "; or" therefor, and adding the following new subsection (t) thereafter:
Amendment to Article 10. The parties hereto confirm that Article 10 of the Original Credit Agreement shall be amended by adding the following new Section 10.26 immediately after Section 10.25 in the Original Credit Agreement:
Amendment to Article 10. Section 10.3 of the Agreement is hereby amended by replacing the last sentence of that section with the following: ‘In addition, the receiving Party may disclose Confidential Information to its Affiliates and its and their officers, directors, employees, contractors, consultants, agents and advisors on a “need-to-know” basis in order for the receiving Party to exercise its rights or fulfill its obligations under this Agreement, each of whom prior to disclosure must be bound by obligations of confidentiality and restrictions on use of such Confidential Information that are no less restrictive than those set forth in Article 10.’
Amendment to Article 10. Paragraph (a) of Article 10 of the Supply Agreement among Takeda, SPA and RTU is hereby amended in their entirety to read as follows:
Amendment to Article 10. Pursuant to Section 2.02(1) of the Base Indenture, Article 10 of the Base Indenture is hereby amended with respect to the Notes by adding to the end the following new Sections 10.05 and 10.06, in each case to read as follows:
