Common use of Amendment costs Clause in Contracts

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 (Change of currency), the Parent shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 32.9 (Change of currencyCurrency), the Parent shallshall (or shall procure that an Obligor will), within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 33.10 (Change of currency), the Parent shall, within five three Business Days of demand, reimburse each of the Agent and the Security Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent and the Security Agent (and, in the case of the Security Agent, by any Receiver or Delegate) in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 30.10 (Change of currency), the Parent shall, within five three (3) Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 35.9 (Change of currency), the Parent Company shall, within five Business Days of demand, reimburse the each Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the that Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 27.10 (Change of currency), the Parent shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 29.9 (Change of currency), the Parent shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 15.16 (Change of currency), the Parent shall, within five three Business Days of demand, and having been provided with reasonable evidence of such, reimburse the Facility Agent for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Facility Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 31.10 (Change of currency), the Parent shall, within five three Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an any amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 (Change of currency), then the Parent shall, within five Business Days of demanddemand by the Administrative Agent, reimburse the Agent Finance Parties for the amount of all reasonable costs and expenses (including legal fees) reasonably together with any VAT (when properly assessed) thereon incurred by the Agent such person in responding to, evaluating, negotiating to or complying with that request or requirementsuch request.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 24.7 (Change of currency), the Ultimate Parent shall, within five three Business Days of demand, reimburse the Agent Lender for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Agent Lender or by any Receiver or Delegate in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 31.9 (Change of currency), the Parent shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably properly incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement. 20.3.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 clause 31.9 (Change of currency), the Parent shall, within five three Business Days of demand, reimburse each of the Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 28.10 (Change of currency), the Parent shall, within five Business Days of demand, reimburse the Agent for the amount of all costs and expenses (including legal fees) reasonably and properly incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor the Parent or the Obligors’ Agent requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 29.9 (Change of currency), the Parent shall, within five Business three Banking Days of demand, reimburse the Agent for the amount of all reasonable costs and expenses (including legal fees) reasonably incurred by the Agent in responding to, evaluating, negotiating or complying with that request or requirement.

Amendment costs. If (a) an Obligor requests an amendment, waiver or consent or (b) an amendment is required pursuant to Clause 28.9 36.9 (Change of currency), the Parent Company shall, within five Business Days of demand, reimburse the each Agent for the amount of all costs and expenses (including legal fees) reasonably incurred by the that Agent in responding to, evaluating, negotiating or complying with that request or requirement.
