Allocations Binding Sample Clauses

Allocations Binding. The Members are aware of the income tax consequences of the allocations made by this Article 3 and hereby agree to be bound by the provisions of this Article 3 in reporting their respective shares of Company income and loss for income tax purposes. The Members further intend that pursuant to Regulations Section 1.704-1(b)(3), the Members' respective interests in the Company are equal to their respective Percentage Shares for purposes of complying with Section 704(b) of the Code.

Allocations Binding. The Members and holders of Financial Rights are aware of the income tax consequences of the allocations made by this Article V and hereby agree to be bound by the provisions of this Article V in reporting their respective shares of Company income and loss for income tax purposes. The Members and holders of Financial Rights further intend that, pursuant to Regulations section 1.704-1(b)(3), the respective interests in the Company of the holders of Financial Rights are equal to the respective Percentage Financial Interests of such person for purposes of complying with section 704(b) of the Code. 5.6
