Agreement to Sell and Purchase the Shares. At the Closing (as defined in Section 3), the Company will sell to each Purchaser, and such Purchaser will buy from the Company, upon the terms and conditions hereinafter set forth, the number of Shares shown, and at the purchase price shown, opposite such Purchaser's name on Exhibit A hereto.
