Common use of Agreement to Sell and Buy Clause in Contracts

Agreement to Sell and Buy. Subject to the terms of this Agreement, the Seller agrees to sell and deliver to the Buyer, and the Buyer agrees to buy and accept from the Seller, the Aircraft with the benefit of the Lease on the Delivery Date in an “as is where is” condition at the Delivery Location for the Actual Purchase Price. The transfer to and assumption by the Buyer of the rights and obligations of the Seller under the Lease shall take effect concurrently with Delivery in accordance with the terms of the Novation Agreement.

Agreement to Sell and Buy. Subject For and in consideration of the Purchase Price, and subject to the terms of this Agreementand conditions set forth herein, the Seller hereby agrees to sell and deliver the Aircraft to the BuyerPurchaser, and the Buyer Purchaser hereby agrees to buy purchase and accept from the Seller, delivery of the Aircraft with the benefit of the Lease on the Delivery Date in an “as is where is” condition at the Delivery Location for the Actual Purchase Price.
