Agreement to Sell and Buy. Subject to the terms and conditions set forth in this Agreement, Seller hereby agrees to transfer and deliver to Buyer on the Closing Date, and Buyer agrees to purchase, all of the Assets, free and clear of any claims, liabilities, mortgages, liens, pledges, conditions, charges, or encumbrances of any nature whatsoever (except for those permitted in accordance with Section 2.5, 3.5 or 3.6 below), more specifically described as follows:

Agreement to Sell and Buy. On the terms and subject to the conditions set forth in this Agreement, Sellers agree to sell to Purchaser, and Purchaser agrees to acquire from Sellers, Sellers' Assets.
Agreement to Sell and Buy. Subject to the terms and conditions set forth in this Agreement, Seller shall sell, assign, transfer and deliver to Buyer at Closing, and Buyer shall purchase at the Closing, all of the Acquired Assets, free and clear of any Liens or liabilities (except for the Permitted Liens and the Assumed Liabilities). For purposes of this Agreement, the term "Meridian Assets" shall mean all of the Assets of Meridian, including without limitation the right to use the name "Meridian" and all variations thereof, other than the Excluded Assets. For purposes of this Agreement, the term "Excluded Assets" shall mean the following Assets:
Agreement to Sell and Buy. Xxxxxx agrees to sell to Purchaser, and Xxxxxxxxx agrees to buy from Seller, the Unit, together with the interest in the Common Elements pertaining to the Unit. Purchaser acknowledges that although Purchaser will have exclusive rights to use and enjoy the storage locker, if any, and yard area constituting the portion of limited Common Elements associated with the Unit, this, and all other Common Elements of the Condominiums will be owned by Purchaser jointly with other unit owners as part of Purchaser’s undivided interest in the Common Elements.
Agreement to Sell and Buy. Subject to the terms and conditions set forth in this Agreement, Diablo hereby agrees to sell, assign, transfer and deliver to ATS at the Closing, and ATS agrees to purchase at the Closing, the Diablo Assets and the Diablo Business, free and clear of any Liens of any nature whatsoever except for Permitted Liens. For purposes of this Agreement, the term "Diablo Assets" shall mean all of the Assets of Diablo, other than the Excluded Assets. For purposes of this Agreement, the term "Excluded Assets" shall mean the following Assets:
Agreement to Sell and Buy. Subject to the terms of this Agreement, the Seller agrees to sell and deliver to the Buyer, and the Buyer agrees to buy and accept from the Seller, the Aircraft with the benefit of the Lease on the Delivery Date in an “as is where is” condition at the Delivery Location for the Actual Purchase Price. The transfer to and assumption by the Buyer of the rights and obligations of the Seller under the Lease shall take effect concurrently with Delivery in accordance with the terms of the Novation Agreement.
