Common use of Agreement to Purchase and Sell Clause in Contracts

Agreement to Purchase and Sell. Subject to the terms and conditions set forth in this Agreement, at Closing Buyer shall purchase and Seller shall sell, transfer, assign, convey and deliver the Assets to Buyer.

Subject to the terms and conditions set forth in of this Purchase Agreement, at Closing the Closing, the Seller shall (a) Transfer and deliver to Buyer, and Buyer shall purchase and Seller shall sellacquire from the Seller, transferall of the Seller’s right, assigntitle and interest in and to the Sale Shares, convey (b) grant the Option to Buyer pursuant to an agreement in the form attached hereto as Exhibit A (the “Option Agreement”), and (c) Transfer and deliver the Assets Warrant to Buyer.
