Agreement of Employer’s Successor. Employer will have any Successor, by agreement in form and substance satisfactory to Employee, assent to the fulfillment by Employer of its obligations under this Agreement. Failure of Employer to obtain such assent at least three business days prior to the time a Person becomes a Successor (or where Employer does not have at least three business days advance notice that a Person may become a Successor, within one business day after having notice that such Person may become or has become a Successor) shall constitute Good Reason for termination by Employee of his employment and, if a Change of Control of the Employer has occurred, shall entitle Employee immediately to the benefits provided in Section IV(C) hereof upon delivery by Employee of a Notice of Termination.
