AGREEMENT OF CUSTOMER. Customer agrees to indemnify and hold harmless Intermediary, its officers, directors, employees and agents, against claims, liabilities or expenses (including reasonable attorney's fees) arising out of Intermediary's compliance with any instructions from Secured Party with respect to the Securities Account, except if such claims, liabilities or expenses are caused by Intermediary's negligence or willful misconduct.
AGREEMENT OF CUSTOMER. Customer agrees to indemnify and hold harmless Bank, its officers, directors, employees and agents, against claims, liabilities or expenses (including reasonable attorney’s fees) arising out of Bank’s compliance with any instructions from Secured Party with respect to the Deposit Account, except if such claims, liabilities or expenses are caused by Bank’s negligence or willful misconduct.
AGREEMENT OF CUSTOMER. Bank has implemented certain Security Procedures for each of the Services identified below. By using the Security Procedures Bank offers to Customer, or by declining to use any Security Procedure Bank offers, Customer acknowledges and agrees that Bank has offered Customer commercially reasonable Security Procedures suitable for Customer. Bank reserves the right to change the Security Procedures upon notice to Customer and following the effective date of such change, the new Security Procedures will become the Security Procedures selected by and agreed to by Customer. The purpose of Security Procedures is to confirm the authenticity of Instructions and is not to detect errors or inconsistencies in the Instructions. If Customer requests that its Instructions be confirmed by a security procedure that is different from a Security Procedure Bank routinely offers to Bank’s other customers (as such Security Procedures may be further modified from time to time) and Bank agrees to Customer's request, Customer acknowledges and agrees that (a) Customer has been offered a suitable security procedure that is commercially reasonable for Customer given Customer’s particular business needs, (b) Customer has chosen an alternative security procedure that could result in an increased risk of unauthorized use of the Services, (c) Customer is bound by any payment order, whether or not authorized, issued in its name and accepted by Bank in compliance with the security procedure chosen by Customer, and (d) Bank is not liable for any losses incurred by Customer that result from the alternative security procedure by agreeing to Customer's alternative security procedure.
AGREEMENT OF CUSTOMER. By signing this agreement, I hereby consent to TRADITION LIEN SERVICE acting as a limited agent to execute any and all contract services including the following: project and legal party research and verification, legal construction lien notices for documented delivery, and if needed, execution of recorded information concerning construction projects.
