Agreement Not Assignable. This Agreement will inure to the benefit of the parties and their respective successors and assigns; Adviser may not, however, assign (as that term is defined in the Advisers Act) this Agreement without Client’s consent.
Agreement Not Assignable. This Agreement shall be binding upon Employer and its successors and upon the heirs, representatives, executors, and administrators of Executive. This Agreement is not assignable by either party, except that the rights and obligations of this Agreement shall be assumed by any successor of Employer. For purposes of this Section 8, the term “successor” shall include any individual or entity which acquires all or substantially all of the assets of Employer by merger, purchase or otherwise.
Agreement Not Assignable. This Agreement and the Restricted Stock Units awarded hereunder are not transferable or assignable by the Grantee; provided that no provision herein shall prevent the distribution of shares to the Grantee’s estate or designated beneficiary, in the event of the Grantee’s death.
Agreement Not Assignable. This Agreement shall not be assigned or assignable, nor shall it be delegated by either party without the prior express written consent of the other party.
Agreement Not Assignable. This Agreement may not be assigned within the meaning of the Investment Advisers Act of 1940 (the "Advisers Act") by Manager without Client's consent.
Agreement Not Assignable. Neither this Agreement nor any right or interest hereunder shall be assignable by Employee or any beneficiary or legal representative of Employee without the prior written consent of an officer of FFB.
Agreement Not Assignable. Employee may not assign any of his rights or delegate any of his duties hereunder. Subject to Paragraph 6c, the Company may assign this Agreement to any of its Affiliates at any time owned by, owning or under common ownership of the Company. In the event of such an assignment by the Company, such affiliates shall be deemed substituted for the Company at each place where "the Company" appears herein; provided, however, the Company shall not be released from its obligations hereunder. Furthermore, the assignment of this Agreement by the Company shall not enlarge the business activities considered to be conducted by the Company for purposes of Paragraphs 7, 8 and 11 hereof. Subject to the foregoing, this Agreement shall bind parties and their respective heirs, successors, assigns and personal representatives.
Agreement Not Assignable. The Officer may not assign, and the Officer represents that he has not assigned, this Agreement or any rights or Grainger’s obligations under this Agreement to any other person.
Agreement Not Assignable. No third party shall obtain any benefits or rights under this agreement nor shall the rights or duties be assigned by either party.
Agreement Not Assignable. Employee may not assign any of his rights or delegate any of his duties hereunder. Employer may assign this Agreement and delegate its duties hereunder to any of its affiliates at any time owned by, owning or under common ownership, provided that Employee shall remain assigned to the business conducted by Employer or its successors.
