Agreement Enforceable. This Agreement constitutes the legal, valid and binding obligation of the Buyer enforceable against the Buyer in accordance with its terms, except as such enforceability may be limited by Insolvency Laws and except as such enforceability may be limited by general principles of equity (whether considered in a suit at law or in equity).
Agreement Enforceable. No consent, approval or other authorization of, or registration, declaration or filing with, any court, governmental agency or commission, or lender is required for the due execution and delivery of this Agreement or for the validity or enforceability thereof against Seller.
