Agreement Construction. This Agreement constitutes the entire and exclusive understanding between the parties and supersedes all prior written and oral agreements, understandings or authorizations concerning the subject matter hereof. This Agreement may only be modified by an amendment, expressly stated as such, signed by all parties. If any provision of this Agreement is held invalid or unenforceable, such invalidity or unenforceability shall not affect any other provision of this Agreement. The validity, interpretation and performance of this Agreement and any dispute connected herewith shall be governed by and construed in accordance with the laws of the State of Georgia without regard to its choice of laws provisions. The parties hereto have caused this Agreement to be executed in duplicate by their duly authorized representatives effective as of the date first above written.
