Agreement and Amendments. 19.1 This Agreement constitutes the entire agreement and understanding between the Supplier and NSHA with respect to the Services, and supersedes all prior negotiations, communications and other agreements, whether written or oral, relating to the subject matter hereof. Any amendment or modification to this Agreement shall have no force or effect unless it is in writing and signed by duly authorized representatives of each of NSHA and the Supplier.

In the event of a conflict, the provisions of an Order Form shall take precedence over provisions of the body of this Agreement. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by the Party against whom the modification, amendment or waiver is to be asserted. Notwithstanding any language to the contrary therein, no terms or conditions stated in a Client purchase order or in any other Client order documentation shall be incorporated into or form any part of this Agreement, and all such terms or conditions shall be null and void.
Agreement and Amendments. 1. The foregoing constitutes the entire Agreement between the parties, and no verbal statement or other agreement, except an amendment in writing annexed hereto and designated as an amendment to this Agreement, shall supersede or vary the provisions herein.

This Agreement, together with the Subscription Agreement, sets forth the entire agreement and understanding among the Parties in relation to the Company, and no Party has relied on any warranty or representation of the other Party except as expressly stated or referred to in this Agreement or the Subscription Agreement. This Agreement (and for the avoidance of doubt, this Clause 19 as well) may only be modified, amended or changed in any respect with the agreement of all Parties, in writing and duly signed.
