Agent Status. No AGENT shall be a computer security auditor or a 19 vendor of ERDS or any other electronic recording delivery system.
Agent Status. Nothing in this Agreement shall be construed to operate as a waiver by the Agent, with respect to any Debtor or any Subsidiary of any Debtor, the Agent, or any Lender, of the benefit of any exculpatory rights, privileges, immunities, indemnities, or reliance rights contained in any Lender Loan Document, all of which rights, privileges, immunities and indemnities, the parties hereto agree are incorporated by reference herein. For all purposes of this Agreement, the Agent may (a) rely in good faith, as to matters of fact, on any representation of fact believed by the Agent to be true (without any duty of investigation) and that is contained in a written certificate of any authorized representative of any Debtor or of the Trustee, and (b) assume in good faith (without any duty of investigation), and rely upon, the genuineness, due authority, validity, and accuracy of any certificate, instrument, notice, or other document believed by it in good faith to be genuine and presented by the proper person. Each Debtor and Trustee expressly acknowledge that the subordination and related agreements set forth herein by the Agent are made solely in its capacity as Agent under the Loan Agreement and the other Lender Loan Documents and are not made by the Agent in its individual commercial capacity.
Agent Status. Cloud Voice Contact agents can set their status and indicate if they are available to handle new inbound requests. The available statuses are configured by their administrator and their current status is visible to their supervisors.
Agent Status. An agent must agree that, in the capacity of an agent to sell electronic licenses, the agent is acting on behalf of the commissioner and the state of Minnesota.
Agent Status a. The Agent agrees that the Agent is acting on behalf of the State and the IDNR only in its capacity as an Agent to sell electronic licenses.
Agent Status. The Agency will conduct and represent itself as agent for the Client. The Agency shall not enter into any contract or make any commitment on behalf of the Client, unless Client's approval of such contract or commitment has first been secured.
Agent Status. It is hereby expressly acknowledged and understood by AGENT that it is acting as an independent contractor, subject to the provisions set forth in this Agreement. AGENT acknowledges that it shall not be treated as an employee for federal tax purposes and accordingly will be responsible for payment of its related tax liability. AGENT has power and authority to enter into this Agreement and is not subject to any violations of any other agreements by entering into this Agreement.

Agent Status. No official, employee or agent of one Party shall be deemed an agent of any other Party, nor is this project, by virtue of this MOU, considered a joint venture between the Parties.
