Common use of Agent May Assign Clause in Contracts

Agent May Assign. Grantor agrees that upon any sale or transfer by Agent of the Note and the indebtedness evidenced thereby, subject to the requirements of the Credit Agreement, Agent may assign or transfer its rights and interest under this Agreement in whole or in part to the purchaser or transferee, who shall thereupon become vested with all powers and rights given to Agent in respect thereto, and Agent and Lenders shall be thereafter forever relieved and fully discharged from any liability or responsibility in connection therewith occurring after such delivery.
