Common use of Agent Counsel Legal Opinion Clause in Contracts

Agent Counsel Legal Opinion. On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement, within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit C for which no waiver is applicable, Jefferies shall have received the favorable opinion of Xxxxxxxx & Xxxxxxxx LLP, counsel to Jefferies, dated as of such date, in customary form and substance satisfactory to Jefferies, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.

On or prior to the date that the first Placement Securities are sold pursuant to the terms of this Agreement, Agreement and within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit C F for which no waiver is applicable, Jefferies the Agents shall have received the favorable opinion of Xxxxxxxx & Xxxxxxxx Gxxxxxx Procter LLP, counsel to Jefferiesthe Agents, dated as of such date, in customary form and substance satisfactory to Jefferiesthe Agents, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.
