Common use of Agent Counsel Legal Opinion Clause in Contracts

Agent Counsel Legal Opinion. Subject to Section 7(o) above, (i) on the date of this Agreement and (ii) within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit E (for which there is no waiver in effect), Citigroup shall have received from Xxxxxxxx Chance US LLP, counsel for Citigroup, such opinion or opinions, dated as of such date, as Citigroup may reasonably require, and the Company shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters. In rendering such opinion, Xxxxxxxx Chance US LLP may rely as to the organization and incorporation of the Company and other matters governed by Maryland law upon the opinion of Xxxxx Lovells US LLP referred to above.

In rendering such opinion, Xxxxxxxx Chance US Sidley Austin LLP may rely as to the organization and incorporation of the Company and other matters governed by Maryland law upon the opinion of Xxxxx Hxxxx Lovells US LLP referred to above.
